ADS-TEC Energy Public Limited Company — FY2022 Form 20-F
Reporting period: Fiscal year ended December 31, 2022; this is an annual report, not a standalone Q4 filing. The Irish holding company reports audited consolidated results under IFRS in euros. Amounts below are in € millions unless stated otherwise.
Business context and financial performance
The company develops and sells battery-buffered high-power EV charging systems, commercial and industrial energy storage, residential energy products, and related software and services. Charging remains its largest business. It reported 2022 revenue of €26.4 million, down 20% from 2021, with supply-chain disruptions cited as the primary cause of lower unit sales.
| Metric | FY2022 | FY2021 |

| Gross profit (loss) | (€4.5m); margin (16.9%) | (€2.3m); margin (6.9%) |
| Operating result | (€36.4m) | (€18.6m) |
| Net loss | (€18.9m) | (€87.6m) |
| Operating cash flow | (€57.8m) | (€18.3m) |

Revenue mix in 2022 was charging €19.5m, commercial and industrial €4.5m, services €1.8m, residential €0.3m, and other €0.4m. Germany generated €19.5m, or 73.9%, of revenue. Two customers represented 27% and 31% of total revenue, respectively.
Material changes versus the prior year
- Revenue declined €6.6m, primarily because supply constraints delayed production and reduced sales. Charging revenue fell 18%; commercial and industrial revenue fell 30%.
- Gross loss widened to €4.5m from €2.3m as lower sales, higher personnel costs, and depreciation and amortization weighed on results. Cost of sales declined less rapidly than revenue.
- SG&A rose 135% to €31.3m, mainly reflecting U.S. sales expansion, higher staffing, public-company costs, and other operating expenses.
- Operating loss increased to €36.4m. Net loss narrowed substantially from 2021, but the comparison is affected by 2021’s €65.8m one-time share-listing expense and 2022 finance income of €20.5m, including €10.3m from warrant-liability remeasurement and €9.9m of foreign-exchange gains.
- Inventory increased to €53.1m from €13.1m, contributing to the sharp rise in operating cash outflow. The filing attributes inventory growth to unfinished production caused by component shortages and finished goods affected by customer order non-performance.
Liquidity, debt, outlook, and risks
- Going concern: The auditor’s report and management identify substantial doubt about the company’s ability to continue as a going concern, citing recurring losses and negative operating cash flows. The financial statements assume continued operations and include no adjustments for the outcome of this uncertainty.
- Liquidity exposure: Management says year-end cash, customer receipts, and shareholder loans agreed in May 2023 are expected to cover requirements for at least 12 months from the financial statement issuance date, but that outcome depends on converting inventory to cash and/or postponing or cancelling purchase obligations. Restricted cash was €12.0m of year-end cash.
- Outlook: Management expected FY2023 revenue to increase year over year and cash flow and operating results to improve significantly. It cited an €89m order backlog at March 31, 2023, as support for its plans. The North America business was restructured in March 2023 after developing below management expectations. These are forward-looking expectations, not guarantees.
- Subsequent financing: On May 5, 2023, the company arranged unsecured shareholder loans of up to $12.875m, drawable as needed, at 10% annual interest. Lenders also received warrants to purchase 1,716,667 shares at $3.00 per share. A customer convertible loan was repaid in full that day.
- Commitments: Material purchase commitments totaled approximately €134.0m at year-end; the going-concern note identifies €106.1m of purchase obligations for 2023. Lease liabilities were €4.9m. Management reported no material cash capital-expenditure commitments.
- Key risks: Customer concentration; dependence on a limited supplier base; supply-chain and component-cost volatility; execution and scale-up risks; competition and dependence on EV and storage-market adoption; customer credit and order performance; and the ability to reduce inventory and secure additional financing if needed.
- Financial reporting controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2022, due to multiple material weaknesses, including deficiencies in accounting processes, IT controls, segregation of duties, review controls, and inventory oversight. The company is implementing remediation measures; it cannot assure that they will fully resolve the weaknesses. Material misstatements identified were corrected in the financial statements.
- Unusual and other items: A 2021 warranty provision related to a suspected defective semiconductor component was €6.3m; warranty provisions remained significant at €8.2m at the end of 2022. No contingent liabilities or contingent assets were reported at year-end, and no significant legal proceedings were reported as of the filing date.
Most important facts for investors to verify
- Whether the €89m March 2023 backlog converts into timely deliveries, revenue, and customer cash receipts.
- Whether inventory can be reduced, including product affected by supply constraints or customer order non-performance, and whether 2023 purchase commitments can be deferred or cancelled.
- How much of the $12.875m shareholder facility was drawn, when it was drawn, and the financing’s interest, maturity, and warrant dilution implications.
- Whether gross margins improve as production and product launches scale, given the 2022 negative gross margin and operating loss.
- Whether customer concentration and reliance on key suppliers decline, and whether U.S. restructuring changes the cost base or growth outlook.
- Progress in remediating material weaknesses and maintaining reliable financial reporting; the auditor did not provide an internal-control effectiveness opinion.
