Material changes and unusual items

  • Spectrum revenue fell 56.7% year over year to $1.252 million, with management attributing the decline to lower domestic and international sales, particularly in Asian markets. AmpliTech and Specialty revenue decreased 14.8% to $1.041 million.
  • The Company reported a $3.249 million loss after it was fraudulently induced to transfer digital currency to a custodian it believed was legitimate. The custodian no longer exists; the digital-asset balance was zero at quarter-end. The Company is pursuing recovery efforts and reviewing its procedures.
  • Management said it was not aware of, and did not expect, further losses related to the incident, and believed other systems, records and assets were not compromised. Recovery is not assured.
  • Cash used in operating activities increased from the prior-year quarter. Inventory rose to $7.246 million from $6.538 million at year-end; accounts receivable declined to $1.309 million from $2.543 million.

Outlook, risks and controls

  • Management described progress in developing 5G and wireless-infrastructure products and MMIC designs, and its strategy to pursue partnerships, joint ventures and acquisitions. The filing provides no numerical revenue or earnings guidance.
  • Disclosure controls and procedures were deemed ineffective at March 31, 2024. Management identified material weaknesses involving undocumented controls, insufficient accounting staff and segregation of duties, transaction and wire-transfer approvals, IT general controls, and adherence to corporate procedures.
  • Remediation efforts include adding accounting expertise, engaging external and internal-control consultants, documenting procedures, and implementing approval hierarchies and dual authorization for payments and wires. Remediation is ongoing and not assured.
  • The Company reported no off-balance-sheet transactions and no pending legal proceedings to its knowledge. It had $1.595 million in cash deposits exceeding FDIC-insured limits at quarter-end.

Important facts for investors to verify

  • Recovery prospects and any subsequent developments relating to the $3.249 million digital-asset fraud loss.
  • Progress in remediating material weaknesses, especially controls over cash transfers and investments, and whether controls are independently tested and deemed effective.
  • Revenue trends at Spectrum, including demand in Asian markets, and the sustainability of gross margins.
  • Cash burn, inventory levels and management’s basis for its stated 12-month liquidity outlook.
  • The filing gives conflicting operating-loss amounts: the financial statements report $1.428 million, while MD&A states $1.473 million. The financial statements’ amount agrees with gross profit less operating expenses; investors should confirm the intended figure.
