- CEW-segment sales were $109.1 million, up 25.8%. Video-segment sales were $5.7 million, up 69.9%, but the Video segment generated a $2.0 million operating loss.
- The TASER X2 generated $25.8 million of sales versus $8.1 million in 2011. Single-cartridge sales increased 29.4% to $32.8 million, while X26 sales declined 3.6% to $36.0 million.
- AXON/EVIDENCE.COM sales increased 218.2% to $2.5 million. AXON Flex bookings totaled approximately $3.8 million, with 44.1% recorded in the fourth quarter; bookings are not equivalent to recognized revenue.
- Fourth-quarter 2012 net sales were $32.1 million, gross margin was $19.2 million, and net income was $3.8 million. Fourth-quarter 2011 net sales were $21.3 million and net loss was $5.9 million.
- Operating cash flow benefited from net income, deferred revenue growth of $4.2 million, and noncash items, partly offset by a $6.1 million increase in receivables.
- Investing activities provided $1.7 million, principally from investment maturities exceeding capital spending. Financing activities used $13.4 million, primarily reflecting a $20.0 million share repurchase.
Material changes versus the prior comparable period
- Sales growth accelerated substantially, driven by adoption of the X2, agency upgrade activity, higher cartridge demand, and increased adoption of AXON Flex and EVIDENCE.COM.
- Gross margin improved primarily because 2012 had no excess-inventory charge, compared with a $3.7 million charge in 2011; the company also cited favorable product mix, manufacturing leverage, and migration of EVIDENCE.COM data storage to a third-party provider.
- Operating expenses declined to $45.2 million from $55.4 million. Research and development expense decreased 18.5% to $8.1 million, while SG&A increased 2.9% to $39.1 million.
- The company reversed $2.2 million of the Turner litigation reserve in the first quarter of 2012, leaving a $1.1 million reserve at year-end. This contrasted with the $3.3 million litigation judgment expense recorded in 2011.
- The company repurchased approximately 3.8 million shares for $20.0 million in 2012. Shares outstanding declined to 52.8 million at year-end from 55.7 million.
- The inventory reserve declined to $2.3 million from $4.4 million, primarily due to disposal of previously reserved X3 and first-generation AXON inventory.
Guidance, outlook, commentary, and risks
- Management expected private-citizen sales to remain a steady contributor in 2013 and planned continued investment in international, federal, military, corrections, private-security, and law-enforcement markets.
- Management anticipated more AXON Flex and EVIDENCE.COM trials in 2013, with trials expected to convert into additional sales as customer acceptance increased and trial periods shortened.
- The company introduced the X26P in January 2013 and viewed it, together with the X2, as an opportunity to upgrade aging CEW deployments. Management estimated that many customers were still using devices purchased between 2003 and 2008.
- Management stated that available cash, expected operating cash flow, and the credit facility should be sufficient to fund 2013 operations and strategic initiatives. The $10.0 million revolving facility had $9.4 million available at year-end after $0.6 million of letters of credit; no borrowings were outstanding.
- The board authorized an additional $25.0 million repurchase program in February 2013. Through March 7, 2013, approximately 600,000 shares had been repurchased for $4.5 million.
- Key risks include dependence on law-enforcement budgets and adoption of the X2, X26P, and EVIDENCE.COM; lengthy public-sector sales cycles; product safety, injury, and wrongful-death litigation; data-security breaches or cloud-service outages; supplier and component availability; regulatory restrictions; international export controls; and competition in the video-evidence market.
- The company disclosed 28 product-liability lawsuits and one companion lawsuit involving alleged wrongful death or personal injury. The Turner appeal remained pending, and the 2008 insurance policy year had no remaining coverage for other cases if the company was unsuccessful on appeal.
- Deferred tax assets totaled $21.0 million, and unrecognized tax benefits totaled $2.9 million. Management stated that approximately $48 million of future pretax book income would be needed to realize certain deferred tax assets.
- The independent auditor issued unqualified opinions on the consolidated financial statements and internal control over financial reporting.
Investor verification checklist
- Verify the sustainability of X2 and X26P upgrade-cycle demand and the extent to which cartridge revenue depends on the installed CEW base.
- Reconcile AXON Flex bookings with recognized equipment and subscription revenue, including the timing of one-to-five-year EVIDENCE.COM service recognition.
- Assess whether the Video segment can reach profitability after generating a $2.0 million operating loss in 2012.
- Review the Turner appeal, the $1.1 million reserve, remaining insurance coverage, and potential exposure from other product-liability and intellectual-property matters.
- Evaluate cash conversion, receivables growth, deferred revenue, and the effect of share repurchases on liquidity and per-share results.
- Monitor the $25.0 million 2013 repurchase authorization, credit-facility waiver, covenant compliance, and remaining borrowing capacity.
- Consider the realization of deferred tax assets and the potential favorable tax impact if the $2.9 million of unrecognized tax benefits is ultimately recognized.
