Changes versus comparable periods
- Q3 net income rose about 27% year over year, supported by higher net interest income, deposit fees, and mortgage banking revenue. Net interest income grew despite slightly lower net interest margin, as earning assets expanded and funding costs declined.
- Q3 operating expenses increased to $38.5 million from $34.5 million, including higher staffing, marketing, payment-processing, occupancy, and technology costs. Core operating revenue excluding specified fair-value, securities-sale, impairment, and acquisition items rose 13% to $59.0 million.
- Nine-month GAAP earnings included a $9.1 million bargain-purchase gain from the six-branch acquisition. Excluding specified non-core items, nine-month core earnings were $35.5 million, broadly unchanged from $35.3 million a year earlier.
- Net loans grew 12% from December 31, 2013, with notable growth in commercial real estate, consumer, multifamily, and commercial business lending. Non-performing loans were $19.8 million, down 20% year over year; non-performing assets were $23.8 million, or 0.50% of assets.
Outlook, transactions, and risks
Management provided no numerical earnings guidance. It cited continued loan and client growth, improving credit indicators, and strong core deposits, while cautioning that economic expansion remained modest and uneven. Management expected further modest declines in deposit costs in the near term but said opportunities were limited. Persistently low rates could continue to pressure asset yields and compress margins.
- Banner completed its purchase of six Oregon branches in June, acquiring approximately $212 million in deposits, $88 million in loans, and 10,500 customer relationships. The bargain-purchase gain added approximately $0.25 to nine-month diluted EPS, net of related expenses and taxes.
- The proposed Siuslaw Financial Group acquisition, announced in August, remained subject to shareholder approval and a Federal Reserve waiver, among other conditions.
- After quarter-end, on November 5, Banner announced a definitive agreement to acquire AmericanWest Bank’s holding company for 13.23 million Banner shares plus $130 million cash, valued at approximately $702 million based on the cited share price. Closing was expected in Q2 2015, subject to shareholder, regulatory, and other conditions.
- Key risks include credit deterioration and reserve adequacy; real-estate values and loan concentrations; interest-rate and funding risks; deposit retention and competition; regulatory actions and changes; fair-value estimates for Level 3 instruments; acquisition execution and integration; and cybersecurity, litigation, and third-party risks. The filing reported no legal proceeding management believed would materially adversely affect the company and no material change to previously disclosed risk factors.
Important facts for investors to verify
- Whether loan growth, core deposit growth, and fee income continue, and how much is attributable to branch acquisitions.
- Whether credit quality remains sound: monitor classified loans ($60 million outside non-performing status), non-performing assets, troubled debt restructurings, charge-offs, and allowance coverage.
- How low rates, deposit repricing, loan floors, and funding mix affect net interest margin and earnings.
- The recurring earnings effect of excluding the $9.1 million acquisition gain and other fair-value or securities-related items.
- Final terms, approvals, dilution, capital impact, integration costs, and expected benefits of the Siuslaw and AmericanWest transactions.
- Liquidity and rate sensitivity: $641 million of certificates of deposit were scheduled to mature within one year; the reported interest-rate simulation estimated a 0.3% decline in next-12-month net interest income under a 100-basis-point rate increase, subject to modeling assumptions.
