Benitec Biopharma Inc. — Form 10-Q Summary

Reporting period: Fiscal second quarter and six months ended December 31, 2022. Amounts below are U.S. dollars; financial statement amounts are generally in millions unless otherwise noted.

Business context

Benitec is a development-stage biotechnology company focused on genetic medicines using its DNA-directed RNA interference (ddRNAi) platform. Its lead candidate, BB-301, is being developed for oculopharyngeal muscular dystrophy (OPMD); the company has no approved products and has not generated product-sales revenue.

Cash used in operating activities was $9.888 million for the six months, versus $7.622 million in the prior-year period. No cash was used in investing activities. Financing provided $16.015 million, principally from the September 2022 equity and warrant offering. Cash and cash equivalents were $10.537 million at December 31, 2022, up from $4.062 million at June 30; restricted cash was $0.014 million.

Current assets were $10.975 million and current liabilities were $2.489 million at December 31, 2022. Total liabilities were $2.911 million, including $0.685 million of operating lease liabilities. The company reported no borrowings and no credit facility. There is no meaningful gross-margin measure given the minimal licensing revenue and absence of product sales.

Material changes and notable items

  • Revenue was limited to licensing fees and fell to $14,000 for the six-month period from $25,000 a year earlier. R&D spending increased 8% year over year for the six months, primarily reflecting ongoing BB-301 development work; G&A was broadly flat for the six-month comparison.
  • The September 2022 offering generated approximately $16.0 million in net proceeds after offering costs. It included 17.6 million common shares, 12.2 million pre-funded warrants and 29.8 million Series 2 warrants. Common shares outstanding rose from 8.17 million at June 30 to 27.98 million at December 31. A further 39.9 million warrants were outstanding at period end.
  • Q2 share-based compensation included a negative $48,000 expense. The company said it corrected an immaterial $167,000 overstatement of non-employee option expense from the prior quarter in the December quarter.
  • Six-month other expense, net, was $0.314 million, including $0.346 million of foreign-currency transaction losses; Q2 other income, net, was $0.199 million. The Q2 total included a $50,000 tax-penalty refund receivable.

Outlook, risks and contingencies

Management concluded that substantial doubt exists about the company’s ability to continue as a going concern. It stated that cash on hand would not fund operations for the next 12 months without additional financing; continued operations depend on raising capital and/or generating revenue, with no assurance either will occur. The company expects ongoing losses and anticipates increased development spending. No specific financial guidance was provided.

For BB-301, the company reported completion of a pilot dosing study in Beagle dogs and interim molecular analyses from 16 of 24 study subjects. It reported improved target-tissue transduction versus a prior licensee’s study and described the findings as interim nonclinical data—not human efficacy results. Regulatory consultations with U.S., Canadian and French agencies were completed, and screening for the OPMD natural-history study began at the first U.S. site in December 2022. The planned program includes a natural-history lead-in and a Phase 1b/2a dose-escalation treatment study; timing and success remain subject to development and regulatory risks.

Benitec received a Nasdaq minimum-bid-price deficiency notice, with a compliance deadline of March 6, 2023. A reverse stock split had been approved by stockholders as an option, but the company said it had no current plan to proceed. Other material risks include the need for further financing, clinical and regulatory uncertainty, reliance on third parties, competition, intellectual-property risks and possible development delays. The filing reported no material legal proceedings or material changes to other previously disclosed risk factors.

Important facts for investors to verify

  • Cash runway, projected operating costs and the timing, availability and potential dilution or terms of additional financing.
  • Progress and enrollment in the natural-history study and Phase 1b/2a BB-301 trial, including regulatory requirements and whether interim animal findings translate into clinical benefit and safety.
  • Nasdaq bid-price compliance status and any decision concerning a reverse stock split or other listing-compliance action.
  • The effect of outstanding warrants and other potential shares on future dilution; the filing reported 40.7 million potential common shares excluded from diluted loss per share as anti-dilutive.
  • Actual R&D costs and timing against estimates, including trial, manufacturing and third-party service-provider expenses.
