Revenue increased 32%, primarily on higher enzyme sales to Pfizer. Pfizer-related CDX-616 sales were $75.4 million, or 54% of total revenue; the filing says one customer contributed 56% of total revenue. R&D revenue fell 36%, mainly reflecting lower Takeda and Novartis-related revenue and fewer GSK milestone payments. Product gross margin fell two percentage points, which management attributed to sales mix, pricing, shipping costs, inflation and supply-chain pressures.

Operating expenses rose 36% to $173.5 million. R&D expense increased 43% to $80.1 million, while SG&A rose 6% to $52.2 million. A fourth-quarter workforce reduction of approximately 18% of employees resulted in $3.2 million of restructuring charges.

Cash, liquidity and debt

Cash from operations improved by $25.6 million year over year, chiefly due to a $25.9 million Pfizer payment received in August 2022 and higher customer receipts, partly offset by higher operating costs. The Pfizer payment is creditable against future orders and was recorded as deferred revenue, rather than as FY2022 revenue. Investing cash outflow was $13.6 million, including $8.3 million of property and equipment purchases and $5.3 million of non-marketable equity investments; financing cash outflow was $0.6 million.

Codexis reported no borrowings under its credit facility at year-end, which provides a revolving line of credit of up to $5.0 million subject to borrowing-base and covenant terms. Operating lease liabilities totaled $43.6 million. Management said existing cash and expected revenues and expense management should fund operations and planned needs for at least 12 months, while noting that this estimate depends on assumptions. It expects near-term cash requirements to rise with R&D investment and to receive less cash revenue from Pfizer CDX-616 sales.

Material changes, outlook and risks

  • Pfizer concentration and unusual supply arrangement: Codexis recognized $36.8 million of product revenue after Pfizer agreed to pay in lieu of delivery under certain non-cancelable orders. It collected $19.8 million in December; the remaining receivable was expected in early 2023. Future purchases are not guaranteed, and the $25.9 million advance is subject to credit provisions and expiry dates.
  • Programs and outlook: In a February 2023 subsequent-event update, Codexis and Nestlé reported interim Phase 1b CDX-7108 data indicating improved lipid absorption versus placebo in the small patient arm, with no safety issues noted among 48 healthy subjects in earlier study parts. The companies saw potential to begin Phase 2 in early 2024. Nestlé was expected to announce an IND filing and clinical-trial initiation for CDX-6114 in 2023. These are expectations, not guaranteed milestones. The filing provides no specific revenue or earnings guidance.
  • Business risks: The company has a history of losses and accumulated deficit of $421.3 million. Key risks include customer and collaborator concentration, uncertain partner development decisions and milestone timing, reliance on a limited number of contract manufacturers, clinical and regulatory uncertainty, competition, and potential impairment of illiquid private-company investments.
  • Other notable matters: Codexis held $20.5 million in non-marketable equity securities at year-end, including its MAI investment. It reported no material pending litigation; a non-material trademark dispute was settled in April 2022. Management reported that a revenue-control material weakness identified in Q1 2022 was remediated by year-end; the corrected misstatement was addressed before the quarterly statements were issued. The auditor gave unqualified opinions on the financial statements and internal controls.

Most important facts for investors to verify

  • How much of future revenue and cash generation depends on Pfizer CDX-616, and whether further orders or use by sublicensees materialize.
  • How the $25.9 million Pfizer advance is applied to future orders and whether any balance remains subject to credit or expiry provisions.
  • Whether CDX-7108 advances to Phase 2 and whether CDX-6114 and Takeda programs achieve expected development milestones.
  • Whether revenue growth, gross margins and cash flow can be sustained as Pfizer-related sales potentially decline and R&D spending continues.
  • The valuation and impairment exposure of non-marketable investments, and progress in diversifying customers and manufacturing capacity.
