No product margins are reported because the company has no revenue. Q1 financing activities provided $9.889 million, primarily from equity and warrant issuances, more than offsetting operating and investing cash outflows. Operating cash use included $5.0 million of payments reducing trade payables and accrued expenses and a $1.1 million increase in prepaids, mainly a CTx-1301 manufacturing deposit; it therefore should not be read as a steady-state cash-burn measure.

Material changes and financing

  • Net loss narrowed by about 26% year over year, primarily alongside lower R&D and G&A spending. Management attributed reduced personnel costs to lower headcount and cost-containment measures introduced in late 2023, including salary reductions of 5%–55%.
  • The company raised approximately $3.1 million net through its ATM program and approximately $7.5 million gross in a February public offering. It also converted the remaining $3.0 million principal and accrued interest on its WFIA related-party note into pre-funded warrants; the balance sheet reported no note payable at March 31.
  • Stockholders’ equity increased to $3.216 million from a deficit of $6.869 million at year-end, reflecting financing and debt-conversion transactions as well as the quarterly loss. Shares outstanding were 5,010,470 at quarter-end; the filing reports 6,046,479 issued and outstanding as of May 3, 2024.

Outlook, risks, and other notable items

  • FDA communications led Cingulate to close enrollment in its two pediatric/adolescent Phase 3 CTx-1301 studies; the company says further conduct of those studies is not required for the NDA. It plans a 50-mg food-effect study and continues to target an NDA submission in the first half of 2025.
  • Management estimated quarter-end cash would fund operations only through late Q2 2024 under its current plan. It expects to need an additional $11–$13 million to support the CTx-1301 NDA timeline, plus funding for other programs and commercialization. The filing states that substantial doubt exists about the company’s ability to continue as a going concern within one year after issuance of the financial statements.
  • CTx-1302 clinical work is planned as soon as 2025, subject to additional capital. CTx-2103 formulation work showed a triple-release buspirone profile; the company says it received FDA feedback on a potential 505(b)(2) pathway. Cingulate is seeking a pharmaceutical partner for CTx-1301; Indegene may provide fee-for-service commercialization support if no partner is secured and the product is approved.
  • Key risks include the need for further financing, potential dilution or unfavorable financing terms, development and regulatory uncertainty, commercialization execution, and Nasdaq listing compliance. In April 2024, WFIA exercised all its pre-funded warrants. The company reports no recorded loss-contingency accruals and no material legal accruals.
  • Management reported disclosure controls were effective at March 31, 2024 and said a previously identified board-independence-related material weakness in internal control over financial reporting was remediated during the quarter.

Important investor verification points

  • Verify the funding plan, actual post-quarter cash position, and whether additional capital is secured; the stated runway ends in late Q2 2024 and the going-concern qualification is material.
  • Track the 50-mg food-effect study, remaining CTx-1301 NDA requirements, and whether the first-half 2025 filing target remains achievable.
  • Assess dilution from the February offering, ATM sales, WFIA warrant exercises, and outstanding warrants. The filing lists 7,795,708 warrants outstanding at March 31, 2024, before subsequent WFIA exercises.
  • Reconcile inconsistencies in the filing’s MD&A: its operating-results table reports G&A of $1.117 million and operating loss of $2.924 million, while the financial statements report $1.141 million and $2.948 million, respectively. The cash-flow statement reports $8.746 million of operating cash use; a later MD&A summary table appears to omit or misstate those amounts.
