Changes and notable items

  • Six-month net loss narrowed from $5.518 million to $5.029 million, primarily reflecting lower operating expenses and no 2013 loss on issuance of derivative warrants. Operating cash use increased by approximately $0.680 million.
  • Six-month R&D expense declined 4.4%, while clinical project costs rose $281,000, mainly due to the Phase 2 I-124-CLR1404 glioblastoma study. Lower restructuring-related compensation, manufacturing, preclinical and equipment costs partly offset the increase.
  • Six-month G&A expense decreased 6.7%. Restructuring costs included approximately $160,000 of severance payments to two employees following the Madison office consolidation.
  • Derivative-warrant revaluation generated a non-cash gain of $519,000 in the first half, compared with $666,000 in 2013. The February 2013 offering warrants are valued using significant unobservable inputs.
  • The company effected a 1-for-20 reverse stock split on June 13, 2014, reducing authorized common shares to 20 million. Share and per-share figures in the filing reflect the split.

Outlook, funding and risks

Management expects continuing operating losses and says cash at June 30, together with approximately $617,500 borrowed under secured notes on July 29, was expected to fund operations only through August 2014. Lenders could make an additional $382,500 available at their option. The notes bear 8% interest, mature 60 days after issuance or earlier upon a qualifying equity financing, and are secured by substantially all company assets; the convertible debentures share that security pari passu. Management said it was pursuing financing alternatives but had not entered negotiations and could not assure additional funding. Failure to raise capital could delay, scale back or end development programs.

Development plans included continuing I-124-CLR1404 trials, with the glioblastoma Phase 2 study expected to complete in the first half of 2015 subject to funding; pursuing multiple myeloma for I-131-CLR1404 and planning an IND submission in 2014; and anticipating an IND submission for preclinical CLR1502 in 2014. The FDA granted I-124-CLR1404 orphan status as a diagnostic for glioma in April 2014. These are management plans, not assured outcomes.

Other material risks include clinical and regulatory uncertainty, lack of product revenue, ongoing losses, financing and dilution risk, debt repayment and collateral constraints, and a pending appeal in the ZAO BAM dispute. Management did not expect that litigation to materially affect financial position, results or cash flows. The filing also says disclosure controls were effective as of June 30, 2014.

Important facts for investors to verify

  • Whether additional financing was obtained after the July 2014 secured-note closing and whether funding extended beyond the stated August runway.
  • Cash burn, the status and repayment or conversion terms of the 8% debentures and secured notes, and any impact of liens on substantially all assets.
  • Progress, funding and regulatory status of the I-124-CLR1404, I-131-CLR1404 and CLR1502 programs, including the stated 2014 IND plans and 2015 trial milestone.
  • Potential dilution from outstanding warrants, options and convertible debt; the filing lists 1,964,085 warrant shares and 619,663 option shares outstanding at June 30.
  • Developments in the ZAO BAM appeal and any resulting financial or intellectual-property exposure.
