Business context and results

It reports two segments: trading and manufacturing, and engineering. Revenue grew substantially as engineering projects were completed and ballast-water-treatment-system (BWTS) sales increased.

Material changes and unusual items

  • Revenue increased from FY2020’s pandemic-affected level, principally reflecting higher Pact-Yixing engineering revenue, project completions and BWTS sales. The company reported selling four port BWTS sets and eight vessel BWTS sets during FY2021.
  • Gross margin eased by 1.0 percentage point to 26.6%, despite gross profit increasing 54.5%.
  • FY2020 included a $1.429 million gain on disposal of property; FY2021 recorded a $10,000 loss on property and equipment disposal. FY2020 also included $147,000 of Hong Kong salary subsidies. These items affect year-over-year comparisons.
  • The company paid a special cash dividend of approximately $1.031 million in 2021. Management said it did not presently intend to declare cash dividends in the foreseeable future.
  • Backlog for the engineering segment was $5.400 million at year-end, down from $11.581 million. Management cautions that backlog may be canceled or changed and may not predict future results.

Outlook, risks and contingencies

Management plans to continue promoting BWTS and port-treatment systems, streamline costs and pursue engineering and product-development opportunities. It anticipated spending up to an additional $120,000 on BWTS-related research and development in FY2022. The filing provides no revenue or earnings guidance and gives no assurance that cost reductions or product initiatives will achieve sustained profitability.

  • COVID-19 had materially disrupted 2020 operations; the company reported no significant disruption in 2021, but warned that renewed outbreaks, restrictions, supply interruptions and delayed projects could affect future results. Management expected a continuing adverse effect on overseas business, with the domestic impact uncertain.
  • Revenue and operations are concentrated in China and Hong Kong. PRC policy, legal and regulatory changes—including uncertainty around overseas-listing filings and cybersecurity/data rules—could affect operations or listing status. The company reported no CSRC or CAC inquiry or objection as of the report date.
  • The company disclosed that its Hong Kong-based auditor was in a jurisdiction where the PCAOB had determined it could not conduct complete inspections. The filing discusses potential delisting risk under the Holding Foreign Companies Accountable Act.
  • Currency exposure is not adequately hedged. The company cited RMB, HKD, U.S. dollar, yen and euro exposures, as well as PRC restrictions on currency conversion and remittances.
  • Supplier and customer concentration remain relevant: the largest supplier accounted for 42% of purchases in 2021; the three largest customers represented about 20% of revenue, with one customer at 15%. Key supplier arrangements include short-term or authorization-letter arrangements.
  • The company reported no material unresolved litigation or contingencies at year-end. It disclosed a put option held by non-controlling owners of Pact-Yixing with no stated expiry date; the potential purchase price is based on a formula tied to prior-year earnings.

Most important facts for investors to verify

  • Whether FY2021’s engineering revenue growth and $5.4 million ending backlog translate into repeatable revenue, margins and operating cash flow.
  • Receivable collection, especially the $2.190 million past-due balance, and the adequacy of the $30,000 allowance.
  • Availability of cash for the holding company, including restrictions on $1.411 million of cash and PRC limits on dividend remittances; no dividends were distributed from PRC subsidiaries to Far East in 2019–2021.
  • Exposure to supplier concentration, the 42% share of purchases from the largest supplier, major-customer dependence and the Pact-Yixing put option.
  • Developments in PCAOB inspection access, HFCAA requirements, PRC overseas-listing rules and other regulatory requirements relevant to Nasdaq listing.
  • Confirmation of the post-year-end share changes: the filing reports a January 2022 bonus issue of one share for every two held and 7,732,132 shares outstanding as of the cover-page reporting date.
