Material Changes Versus the Prior Comparable Period
- Quarterly sales increased 5.9%; six-month sales increased 4.4%. The quarter benefited from the Unified acquisition, higher volume, an additional shipping day and price increases, partly offset by unfavorable foreign-currency translation.
- Six-month sales benefited from acquisitions, price increases and volume. Management identified approximately $6.8 million of acquisition-related contribution, $2.9 million from price increases and $1.9 million from increased volume.
- Gross margin improved by 20 basis points in the quarter and 40 basis points for the six months. Pricing, acquisitions, lower product-liability costs and productivity benefits exceeded material-cost inflation and higher inventory reserves.
- Selling expense declined as a percentage of quarterly sales to 11.7% from 12.4%; general and administrative expense declined to 9.0% from 10.2%, partly because the prior year included nonrecurring personnel and professional-services costs.
- Other expense was $0.1 million in the quarter, compared with other income of $1.3 million in the prior-year quarter. The current quarter included a $0.25 million property-casualty loss; the prior year included a gain on the sale of equity securities.
- The effective tax rate was 21% for the quarter and 26% for the six months, compared with 31% and 30%, respectively. A recently issued tax regulation generated a $1.431 million benefit from utilization of prior-year tax credits.
- Foreign-currency translation reduced comprehensive income by $8.3 million in the quarter and $8.0 million for the six months, contributing to accumulated other comprehensive loss of $48.6 million.
Debt, Liquidity and Financial Condition
- Debt consisted primarily of $150.0 million principal amount of 7 7/8% senior subordinated notes due February 2019, recorded at a carrying value of $148.8 million, plus $2.3 million of senior debt and capital-lease obligations.
- The company had no revolver borrowings and $5.3 million of outstanding letters of credit. The $100.0 million revolving facility therefore had $94.7 million of unused availability at September 30, 2014.
- Total liquidity, defined by management as cash plus unused revolver availability, was $209.2 million. The revolver expires October 31, 2017 and may be increased by up to $75.0 million subject to lender approval.
- The company was in compliance with its debt covenants, including a minimum fixed-charge coverage ratio of 1.25x, maximum net total leverage ratio of 3.50x and maximum annual capital expenditures of $30.0 million.
- The company may redeem the senior subordinated notes beginning February 1, 2015, initially at 103.938% of principal. Management stated that it would evaluate refinancing opportunities.
- Cash from operations was supported by an $11.1 million reduction in receivables, partly offset by a $6.1 million increase in inventories and reductions in payables and accrued and noncurrent liabilities.
