- Balance sheet and liquidity: At June 30, cash was $88.6 million, current assets $346.8 million, and current liabilities $133.2 million. Long-term debt was $250.0 million, unchanged from year-end; cash less debt was approximately $161.4 million. Changes versus comparable periods
- Q2 revenue rose 0.8%; six-month revenue rose 5.8%. Higher North American medium- and heavy-duty truck sales and aftermarket revenue were partly offset by weaker construction-related sales and unfavorable currency translation.
- The Global Truck and Bus segment performed strongly: Q2 revenue increased 12.2% and operating income rose to $15.1 million from $11.6 million. For the first half, segment revenue increased 15.8% and operating income rose to $29.2 million from $19.9 million.
- The Global Construction and Agriculture segment weakened: Q2 revenue fell 17.6% and operating income declined to $2.8 million from $4.7 million. First-half revenue fell 10.3% and operating income declined to $6.5 million from $8.3 million.
- Consolidated gross and operating margins improved in both comparison periods. Selling, general and administrative expenses declined, while higher income taxes partly offset pretax earnings growth. The six-month tax provision increased to $5.8 million from $2.0 million, primarily reflecting income mix by jurisdiction and higher earnings.
Outlook, commentary, and risks
- Management expected cash, operating cash flow, and revolver availability to fund working capital, planned spending, strategic initiatives, and debt service for at least the next 12 months, but gave no assurance. It also expected to be cash-accretive in 2015.
- 2015 capital expenditures were expected to be $19–$22 million, reduced from an earlier $26 million plan. The filing attributes the change to more efficient capital purchases, currency effects, and spending expected to carry into 2016.
- Management expected construction and agriculture equipment markets served by CVG to remain soft for the rest of 2015. The filing cites ACT Research’s forecast of North American Class 8 production peaking at 338,000 units in 2015, then declining to 239,000 in 2018; these are third-party industry forecasts, not company guidance.
- Key exposures include cyclical vehicle production, construction-market weakness, currency movements, customer or vehicle-platform losses, competition, and potential difficulty meeting credit covenants if business or cash availability deteriorates. About 46% of first-half revenue came from North American medium- and heavy-duty truck OEMs.
- Q2 gross profit included $0.9 million of net warranty charges and $0.5 million of Tigard facility-closure costs. First-half results included $1.5 million of net warranty charges and increased Tigard closure costs; the comparable 2014 period included a $0.8 million loss on sale of the Norwalk facility. Warranty liabilities were $6.1 million at June 30.
- Management reported no material expected adverse outcome from ordinary-course litigation and no material change in risk factors from the 2014 Form 10-K. A second-quarter goodwill impairment assessment resulted in no impairment. Disclosure controls were reported effective.
Important facts for investors to verify
- Whether truck-market volume and the strong Global Truck and Bus segment can offset ongoing construction and agriculture weakness.
- Whether reported cash generation is sustainable, including the effects of receivables, payables, and other working-capital movements.
- Actual capital spending and the timing of the spending deferred into 2016.
- Warranty claims, Tigard closure costs, and other unusual or nonrecurring items relative to management’s reported earnings improvement.
- Revolver availability, covenant headroom, and the ability to service the $250 million notes at 7.875% through maturity.
- The impact of foreign exchange, foreign cash balances, tax valuation allowances, and the higher effective tax burden on future results.
