Material changes and operating trends

  • Revenue growth outpaced cost-of-revenue growth: revenue rose 18%, while cost of revenues rose 7% to $33.593 million. Management attributed improved gross profit primarily to higher revenue.
  • Selling, general and administrative expenses increased to $5.722 million from $5.207 million, mainly due to sales incentives and additional sales and marketing staff. Net financial income declined to $0.422 million from $0.887 million, largely because of currency effects.
  • Backlog scheduled for delivery within 12 months increased to approximately $18.1 million at year-end from $16.8 million. The company cautions that backlog is not necessarily indicative of subsequent-period business.
  • Defense and aerospace represented 50.7% of production, up from 48.7%; industrial equipment rose to 14.4% from 7.1%. Sales outside Israel were $20.0 million, or 43% of revenue, compared with $17.5 million, or 44%, in 2022.
  • Two affiliated customer groups accounted for 13.7% and 14.0% of 2023 revenue. Two suppliers represented 28% and 26% of consolidated raw-material costs, respectively.
  • The company paid a $0.22-per-share dividend, approximately $1.3 million in total, in December 2023. It has no stated dividend policy and does not assure future payments.

Outlook, risks and unusual items

  • Investment and funding: Eltek expects approximately $10 million of capital expenditures in 2024, subject to available resources, primarily for equipment, capacity expansion and technology upgrades. It expects to fund spending through supplier credit, operating cash flow and cash balances, but warns that external financing may not be available on favorable terms. A February 2024 offering of 625,000 shares generated $10 million gross proceeds; the company said proceeds would support production expansion and general corporate purposes. The filing’s earlier, multi-year investment program was expected to total $15 million and potentially support $10–15 million of additional annual sales if increased demand continues; timing and benefits are uncertain.
  • Liquidity outlook: Management expects cash flow and cash balances to be adequate for liquidity requirements through 2024, while identifying possible pressure from weaker demand, supply shortages, customer payment extensions, currency movements and the Israel conflict. The $2.4 million revolving facilities may not remain available; company assets are pledged to banks.
  • Israel conflict: As of March 2024, the company reported no material operational impact and said its facility was operating normally as an essential enterprise. Escalation, reserve call-ups, movement restrictions, supply delays or reduced access to capital could disrupt operations. Commercial insurance does not cover losses related to the regional security situation.
  • Environmental matters: Eltek paid a roughly $0.1 million hazardous-materials penalty after a 20% reduction and paid a roughly $0.6 million Clean Air Law penalty, which it appealed. In February 2024, a court ordered a refund of 10% of the latter penalty. Following a soil-contamination notice, the Ministry of Environmental Protection required an additional soil and groundwater survey. Further findings could result in remediation costs, penalties or operating restrictions.
  • Other risks and claims: The filing highlights aging, specialized machinery; customer and supplier concentration; competition from lower-cost Asian manufacturers; raw-material cost and availability; foreign-exchange exposure; inflation and interest rates; and an unsupported legacy ERP system. A 1% dollar depreciation against the shekel was estimated to reduce operating income by approximately $262,000. Employee injury and employment claims remain disclosed; the company recorded a provision for former-employee claims totaling approximately $380,000, while insurance coverage for injury claims is under review.
  • Research and development: An Israel Innovation Authority program, approved for 40% participation in an approximately $800,000 development program and extended through February 2025, aims to increase production speed and reduce scrap. Achievement of the intended benefits is not assured.
  • Reporting and audit: The independent auditor issued an unqualified opinion on the financial statements. Management concluded internal control over financial reporting was effective; the auditor did not issue an opinion on internal controls. Inventory valuation was identified as a critical audit matter; 2023 excess and obsolete inventory write-offs were $80,000.

Important facts for investors to verify

  • Reconcile the filing’s $16.1 million and $16.9 million working-capital disclosures and confirm the intended measure.
  • Track whether backlog converts to revenue and monitor customer concentration, particularly the two affiliated customer groups.
  • Assess the timing, funding and returns of the 2024 capital program, and the impact of the February 2024 share offering on dilution and capacity.
  • Follow the required environmental survey, any further regulatory action, and the status of the Clean Air Law penalty refund and employee claims.
  • Monitor operations, staffing and supply availability amid the Israel conflict, as well as the company’s foreign-exchange exposure and availability of revolving credit.
  • Evaluate whether the company can sustain improved margins and operating cash flow while replacing aging equipment and addressing ERP-system risks.
