  • Revenue increased 4.7%. Women’s Health sales rose 55.4% to $3.567; Device Protection was nearly flat at $2.357; Cardiovascular sales fell 55.9% to $0.770.
  • Gross margin contracted to 42.5% from 52.8% (excluding intangible amortization, 55.2% versus 66.1%). Management attributed the decline mainly to the Cardiovascular distribution arrangement with LeMaitre, which replaced end-user pricing with contract pricing.
  • Sales and marketing expense declined 29.5% to $3.309, largely reflecting a 2023 reduction in force. General and administrative expense increased 43.6% to $5.056, driven in large measure by January 2024 equity compensation grants. R&D expense declined to $1.172 as CanGarooRM development progressed.
  • The net loss included a $9.637 noncash loss from revaluing warrant liabilities, partly offset by a $1.443 gain from revaluing the Ligand revenue interest obligation. The prior-year quarter included $1.807 of income from discontinued operations; Q1 2024 did not.
  • Cash was $12.551 at quarter-end, down $6.725 from year-end 2023. Current assets were $23.986 versus current liabilities of $38.067. Stockholders’ deficit was $50.299.
  • Long-term debt was $22.012 before current/noncurrent presentation, including $2.274 classified as current and $19.738 as long-term. The SWK facility bears variable SOFR-based interest; its weighted-average rate was 13.5% in Q1. Principal amortization is scheduled to begin November 2024, subject to possible extension.
  • The revenue interest obligation was $13.559 in total at March 31 ($5.900 current and $7.659 long-term). Under the January 2024 amendment, annual minimum payments rose to $4.4, and 5% of specified product sales remains payable through May 31, 2027.

Material changes, outlook and risks

  • Elutia sold its Orthobiologics Business in November 2023 for approximately $14.6, with potential earn-outs of up to $20 and a $1.5 holdback. No earn-out was earned or paid in Q1 2024. The former segment’s Q1 2023 results are presented as discontinued operations.
  • Management expected an FDA decision on the CanGarooRM 510(k) submission in Q2 2024 and was preparing for a potential commercial launch. No financial guidance or quantified revenue outlook is provided.
  • Management disclosed substantial doubt about the Company’s ability to continue as a going concern within one year after issuance of the financial statements. Elutia expects continued losses and cash outflows and says available cash, expected sales and potential financing may not be sufficient. It may seek equity, debt, asset sales or other transactions, which may not be available on acceptable terms.
  • FiberCel litigation: 109 lawsuits or claims had been filed or asserted; 29 were settled for approximately $9.1 in total cash outlay. The Company accrued $15.6 for 80 unsettled cases and warned that ultimate losses could exceed the accrual and be material; it could not estimate the excess range. The filing reports litigation-cost receivables of $2.031 on the balance sheet and separately describes $1.8 of recorded recoveries in the litigation note. It is pursuing up to $3.8 or more of additional potential recoveries not recorded.
  • VBM recall: following a 2023 recall and market withdrawal, four lawsuits and 15 claims had been reported. Management considered material claims reasonably possible but said loss could not be estimated; no probable liability was accrued. A $0.2 legal-fee liability and related insurance receivable were recorded.
  • Other execution risks include reliance on commercial partners and limited suppliers. Sientra’s assets were acquired by Tiger Aesthetics in April 2024; Elutia said it was discussing continued SimpliDerm distribution. Cook Biotech, a key supplier, was acquired by RTI Surgical; Elutia did not expect a supply-agreement impact.
  • Elutia was in compliance with SWK financial covenants at March 31, 2024. The loan agreement was amended in March 2024 to set a $20.0 trailing-12-month minimum revenue covenant from Q1 2024, with an alternative liquidity test described in the filing.

Most important facts for investors to verify

  • Cash runway, financing plans and the status of the disclosed going-concern uncertainty.
  • CanGarooRM FDA decision, launch timing, commercial uptake and related warrant dilution.
  • FiberCel and VBM claims, potential exposure beyond recorded accruals, insurance coverage and recoverability of indemnity or contribution claims.
  • Ability to meet SWK loan and Ligand payment obligations, including variable interest, scheduled amortization and annual minimum payments.
  • Whether revenue growth and gross-margin trends improve, particularly in Cardiovascular, and whether SimpliDerm distribution continues after the Sientra transaction.
