Material changes and management commentary
- COVID-19-related effects were cited as the primary reason for lower product revenue, with reduced demand and supply-chain disruption expected to continue affecting results. Service and subscription growth was attributed primarily to subscription revenue.
- Revenue mix shifted toward recurring services and subscriptions: these represented 31.6% of revenue, versus 27.5% a year earlier. The company said its strategy is to grow cloud-driven solutions and subscription-oriented revenue.
- The Aerohive acquisition affected the prior-year comparison: Q1 FY2020 included substantial acquisition and integration costs. Prior-year pro forma results, assuming Aerohive had been acquired at the start of fiscal 2019, were revenue of $267.7 million and net loss of $24.1 million.
- Remaining performance obligations were $297.8 million. The company expected to recognize approximately 54% of deferred revenue in fiscal 2021, 25% in fiscal 2022, and the remainder thereafter.
Outlook, risks and contingencies
- No formal revenue or earnings guidance was provided. Management said it could not reasonably estimate COVID-19’s future impact given uncertainty around the pandemic and related measures. It expected lower R&D and sales and marketing costs in fiscal 2021 compared with fiscal 2020.
- The 2019 Credit Agreement had amended covenants through March 31, 2021, including minimum cash and financial requirements, a $55.0 million cap on revolving borrowings, and restrictions on additional debt, repurchases, acquisitions and dividends until compliance with original covenants. The company expected to meet the original terms before June 30, 2021. The debt is secured by substantially all company assets.
- Purchase commitments for inventory and other services were $33.9 million. Total contractual cash obligations were $665.8 million, including $396.0 million of debt principal and $60.7 million of estimated interest.
- Patent and other litigation remained a risk. The company reported an injunction in the Orckit German patent matter and was evaluating further proceedings; it said it could not estimate possible losses for the DataCloud and Shenzhen Dunjun matters. American Patents settlement terms were reached for a non-material amount. A separate SNMP copyright lawsuit was filed October 26, 2020, after quarter-end; potential loss could not be estimated.
- Customer concentration was notable: Tech Data, Jenne and Westcon represented 27%, 15% and 13% of quarterly revenue, respectively. Tech Data represented 33% of quarter-end receivables.
- The company recorded $1.0 million of restructuring charges in the quarter and had incurred $8.8 million under its COVID-19-related 2020 restructuring plan through September 30, 2020. It expected approximately $1.0 million of additional equipment relocation costs, substantially complete by fiscal year-end.
