Business context
EZGO is a British Virgin Islands holding company whose operations are in China and whose results depend substantially on its PRC variable interest entity (VIE) and subsidiaries. Its businesses include e-bicycle sales, battery-pack sales, and smart charging piles. E-bicycles generated about 78% of FY2021 revenue; battery sales about 18%; charging piles about 1%.

Revenue growth came primarily from e-bicycles: sales rose 63% to $18.23 million. Battery-pack revenue increased to $4.29 million. Management attributed the sharp margin decline to lower e-bicycle prices and distributor rebates used to grow volume, as well as higher costs. Selling and marketing expense rose to $1.56 million, while general and administrative expense rose to $2.70 million. The company reported a $0.42 million income-tax benefit, largely related to deferred tax assets, partly offset by a valuation allowance.
At year-end, accounts receivable were $6.85 million and supplier advances were $7.40 million. Accrued expenses and other payables were $7.14 million, including approximately $5.88 million of VAT payable. Consolidated equity was $32.54 million. The filing reports $3.15 million of interest-free loans to former chairman and significant shareholder Henglong Chen as a deduction from equity; the balance had not been fully collected by the report date.
Material changes and significant items
- Revenue expanded rapidly, but profitability reversed: gross profit fell about 75% and the company moved from net income to a substantial net loss.
- The e-bicycle segment recorded a $2.03 million pretax loss, compared with $0.17 million pretax income in FY2020. Battery cells and packs pretax income declined to $0.02 million.
- EZGO completed a roughly $10.16 million acquisition of Tianjin Jiahao assets in June 2021, including land-use rights and factory buildings. The company cited estimated capacity of 100,000 e-bicycles in existing buildings, with potential capacity of about 500,000 more if additional buildings are constructed.
- The company raised approximately $10.85 million net in its January 2021 IPO and $10.88 million net in a June 2021 registered direct offering. The latter included warrants to purchase shares, creating potential dilution.
- Rental revenue fell 79% to about $0.34 million. EZGO said it scaled back and phased out the rental business in the first half of 2021 and terminated all sublease agents.
- As of September 30, 2021, EZGO operated 3,426 charging piles directly; none were operated by franchisees. The company said this business had not generated significant revenue.
Outlook, risks, contingencies, and controls
Management’s stated five-year strategy targets at least 1% of China’s e-bicycle market, or 500,000 units of annual sales, by the end of 2025, and deployment of 50,000 charging piles. These are strategic targets, not formal financial guidance. The filing does not provide quantified revenue, earnings, or cash-flow guidance.
- Execution and margins: Growth depends on increasing e-bicycle sales while restoring margins, controlling costs, and establishing distribution. Competition, pricing pressure, product quality, safety certification, and supplier reliance could hinder results.
- Customer and receivable concentration: Two customers represented 23% of FY2021 revenue; five customers represented 81% of year-end accounts receivable. Three battery customers accounted for 52%, 28%, and 8% of battery sales, respectively.
- Cash access and VIE structure: The company relies on contractual arrangements, not equity ownership, to control its VIE, which generates the company’s revenue. PRC regulatory interpretation, enforceability, foreign-exchange restrictions, and limits on distributions could affect operations and access to cash.
- China regulatory and listing risks: The filing discusses evolving PRC rules concerning overseas listings, cybersecurity review, and foreign investment. It also describes HFCA Act/PCAOB inspection risks and possible Nasdaq listing consequences.
- Internal controls: Management concluded disclosure controls were ineffective at year-end and identified material weaknesses involving U.S. GAAP/SEC reporting expertise and the absence of key monitoring mechanisms. Remediation was ongoing; no auditor attestation on internal controls was provided.
- Related-party matters: The former chairman’s personal loans were not fully repaid by the stated July 2021 deadline. The company said it expected a repayment confirmation by February 10, 2022, with repayment by December 31, 2022; receipt of the confirmation was not assured.
- Legal matters: Two supplier disputes resulted in judgments requiring repayment of approximately RMB958,805 and RMB1,072,560, plus interest; the second also included attorney fees. The company said amounts were accrued.
- Other risks: COVID-19 and supply-chain disruption, currency movements, limited insurance, and restrictions on transferring cash out of China may affect operations and liquidity. EZGO said it does not expect to pay dividends in the foreseeable future.
Key facts investors should verify
- Whether revenue growth can produce positive gross margins and operating cash flow, given the FY2021 margin compression and losses.
- Collection timing and credit quality of receivables, supplier advances, and the former chairman’s $3.15 million outstanding loan balance.
- Actual factory utilization, production capacity, sales volumes, and progress toward the 2025 sales and charging-pile targets.
- Whether customer and supplier concentration has changed, and whether the VAT payable and other accrued liabilities have been settled.
- Progress in remediating the disclosed material weaknesses and improving financial reporting controls.
- Any changes in PRC requirements affecting the VIE arrangements, overseas listing, cybersecurity review, or cash transfers.
- Potential dilution from outstanding warrants and compliance with Nasdaq listing requirements.
