Gen Digital Inc. quarterly report, Q1 FY2024

Gen Digital Inc. — Form 10-Q Summary

Reporting period: First quarter of fiscal 2024, the three months ended June 30, 2023. Comparisons are with the three months ended July 1, 2022, unless otherwise noted. Gen is a consumer cybersecurity, identity protection and privacy company. Results include Avast, acquired in September 2022; the prior-year quarter did not.

Key financial results

MetricQ1 FY2024Prior-year quarter
Revenue$946 million$707 million
Gross profit / margin$767 million / 81%$605 million / 86%
Operating income / margin$362 million / 38%$261 million / 37%
Net income$189 million$200 million
Diluted earnings per share$0.29$0.33
Cash from operations$226 million$215 million
  • Revenue rose 34%, principally reflecting Avast and higher sales in consumer security and identity and information protection. Reported revenue included $9 million of unfavorable foreign-exchange impact.
  • Consumer security revenue was $599 million, versus $402 million; identity and information protection revenue was $330 million, versus $294 million. Americas revenue was $622 million, EMEA $225 million and APJ $99 million.
  • Gross margin declined five percentage points, reflecting higher cost of revenue, including $52 million of additional acquired-intangible amortization, higher payment-processing fees and revenue-share costs. Operating margin improved one percentage point; lower general and administrative costs, including reduced litigation costs, helped offset higher amortization and restructuring costs.
  • Net income fell despite higher operating income, primarily because interest expense increased to $170 million from $31 million following the Avast-related financing.
  • Effective tax rate was 7%, compared with 13%, primarily due to tax benefits from establishing and writing off deferred tax items related to an internal restructuring.

Cash, debt and capital allocation

  • Cash and cash equivalents were $623 million at June 30, down $127 million from March 31. Operating cash flow was $226 million; investing cash outflow was $6 million and financing cash outflow was $350 million.
  • Cash uses included $208 million of debt repayments, $83 million of dividends and dividend equivalents, and $41 million of share repurchases. Management attributed the cash decrease mainly to interest, dividends, debt prepayments and amortization, and repurchases.
  • Debt principal totaled $9.691 billion, including $7.084 billion of variable-rate term loans and $2.600 billion of senior notes. Balance-sheet debt carrying value was $9.560 billion. The $1.5 billion revolving facility was undrawn; Gen reported compliance with debt covenants.
  • A 100-basis-point change in SOFR would change annualized interest expense by approximately $71 million, before considering hedges. Interest-rate swaps fixed rates on $1 billion of Term A borrowings through March 2026.
  • The company declared a $0.125-per-share dividend for payment in September 2023. At quarter-end, $829 million remained under its share repurchase authorization.

Outlook, commentary and material risks

  • No specific revenue, earnings or margin guidance is provided in the filing. Management said existing cash, operating cash generation and the undrawn revolver should be sufficient for working capital, ongoing activities, expected Avast synergy costs and known long-term obligations for at least the next 12 months.
  • Avast integration restructuring is expected to cost up to $150 million and be completed by fiscal 2024. Gen had incurred $86 million cumulatively by June 30, including $17 million in the quarter.
  • Remaining performance obligations were $1.219 billion, excluding $490 million of customer deposit liabilities; approximately 94% was expected to be recognized as revenue over the following 12 months. Contract liabilities totaled $1.709 billion at June 30.
  • Management cited inflation, elevated interest rates, foreign-exchange volatility, recession risks and geopolitical uncertainty as potential pressures. Subscription revenue may cause macroeconomic effects to emerge with a delay.
  • Material legal exposures include the Columbia University patent case: Gen accrued approximately $239 million, representing the low end of its estimated probable loss; the award could be enhanced, and a higher loss is reasonably possible but not estimable. The GSA matter had a $1.4 million accrued estimate, with further exposure possible if plaintiffs’ motions succeed or an appeal is pursued.
  • FTC and other proceedings relating to Avast’s former Jumpshot data practices remain unresolved; Gen said potential loss could not be assessed or estimated. A separate shareholder derivative action tied to the 2008 Employee Stock Purchase Plan also remains unresolved, with potential loss not estimable.

Most important facts for investors to verify

  • How much of revenue growth reflects durable organic growth versus the Avast acquisition, and whether customer monetization improves: direct customer count was 38.2 million versus 24.1 million, while direct ARPU was $7.26 versus $8.58.
  • Whether integration synergies and restructuring savings materialize, and whether total restructuring costs remain within the $150 million estimate.
  • Debt reduction, refinancing and interest-rate exposure, including the effect of variable-rate borrowings and covenant headroom.
  • Developments in the Columbia patent case, GSA matter, Jumpshot-related proceedings and other unresolved litigation or regulatory inquiries.
  • Whether operating cash flow can sustain debt service, dividends, repurchases and planned business investment while preserving liquidity.
