Structure Therapeutics Inc. annual report, FY2023

Structure Therapeutics Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; filed March 8, 2024. Although the request identifies 2023 Q4, this is an annual filing and does not provide standalone fourth-quarter financial results. Structure Therapeutics is a clinical-stage biopharmaceutical company developing oral small-molecule medicines, with no approved products and no product revenue.

Business context and pipeline

The company focuses on structure-based drug discovery, particularly GPCR targets. Its lead candidate, GSBR-1290, is an oral GLP-1 receptor agonist in development for obesity and type 2 diabetes (T2DM). ANPA-0073, an apelin-receptor agonist, completed Phase 1 studies; LTSE-2578, an LPA1 receptor antagonist for pulmonary fibrosis, remained preclinical.

Financial performance and liquidity

MetricFY2023FY2022
RevenueNoneNone
Research and development expense$70.1 million$36.2 million
General and administrative expense$32.7 million$16.4 million
Total operating expenses / operating loss$102.8 million$52.6 million
Interest and other income, net$13.4 million$1.3 million
Net loss$89.6 million$51.3 million
Net loss per ordinary share, basic and diluted$0.81$5.51
Cash used in operating activities$79.5 million$46.1 million
Cash, cash equivalents and short-term investments at year-end$467.3 million$90.8 million

Operating expenses nearly doubled, principally reflecting increased GSBR-1290 development, clinical activity, staffing and public-company costs. The higher interest income partly offset operating losses. Gross margin and operating margin are not meaningful for this pre-revenue company. Operating cash outflow increased year over year. Investing cash outflow was $268.3 million, mainly net purchases of short-term investments; financing cash inflow was $451.5 million.

Cash and short-term investments comprised $129.8 million of cash and equivalents and $337.5 million of short-term investments. Total liabilities were $29.1 million, including $5.5 million of operating lease liabilities; the filing reports no outstanding term-loan borrowing. The company raised approximately $166.7 million net in its February 2023 IPO and $281.5 million net in its October 2023 private placement. Accumulated deficit was $206.6 million. Management said current resources were expected to fund operations through at least 2026, while the financial-statement note states funding for at least 12 months from issuance; both are estimates dependent on assumptions and spending plans.

Clinical progress, outlook and material items

  • GSBR-1290 Phase 2a T2DM results showed placebo-adjusted HbA1c reductions of 1.01–1.02 percentage points and weight reductions of 3.26%–3.51% at Week 12. Interim obesity results showed a 4.74% placebo-adjusted weight reduction at Week 8. These are company-reported topline/interim findings, not confirmatory trial results.
  • In the 28-day Phase 1b study, placebo-adjusted weight loss reached 4.9%. Across reported studies, gastrointestinal effects including nausea, vomiting and diarrhea were observed. In Phase 2a, one T2DM participant discontinued due to an adverse event; no obesity-cohort participants discontinued for this reason. No treatment-related serious adverse events were reported over 12 weeks.
  • A clinical-site data-collection omission meant Week 12 weight data were missing for 24 of 40 initially enrolled obesity-cohort participants. Replacement participants were enrolled. Full 12-week obesity results and formulation-bridging/titration results were expected in the latter half of Q2 2024.
  • Management expected to start global Phase 2b obesity and Phase 2 T2DM studies in the second half of 2024. It also planned a first-in-human study of LTSE-2578 in Q2 2024. These are forward-looking plans, not guarantees.
  • The company expects continued losses and increasing R&D spending and will require substantial additional capital over time. It has no sales organization or manufacturing facilities and relies on third parties, including a single-source supplier for current active ingredients and drug product; efforts to add alternative suppliers were underway.
  • Other risks include uncertain clinical and regulatory outcomes, competition, reliance on Schrödinger collaborations, intellectual-property protection, China/U.S. geopolitical and regulatory exposure, and potential clinical-trial, supply-chain and financing disruption. No material legal proceeding was reported.
  • The audited financial statements received an unqualified opinion. However, management concluded disclosure controls and internal control over financial reporting were not effective at year-end because of a continuing material weakness: insufficient finance personnel and related control-environment deficiencies. Management reported remediation efforts and said the weakness had not caused a material financial-statement misstatement.

Important facts for investors to verify

  • Final Phase 2a obesity results, including the impact of the missing Week 12 measurements and replacement participants.
  • Whether formulation-bridging results support tablet use, planned Phase 2/2b trial starts occur on schedule, and future trials reproduce early efficacy and tolerability findings.
  • Cash burn, investment maturities and the assumptions behind the stated runway through at least 2026; future financing needs and potential dilution.
  • Progress diversifying manufacturing beyond the current single-source supplier and any effects of China-related restrictions or supply disruptions.
  • Remediation and independent testing of the remaining material weakness, and whether disclosure and financial-reporting controls become effective.
  • Potential safety signals with longer exposure, including gastrointestinal effects and the reported isolated liver-enzyme elevation in a T2DM participant.
