- Reported revenue rose about 74% year over year in Q2 and 73% for the first half, largely reflecting Smiths Medical. Smiths contributed $222.9 million of Q2 revenue and $437.8 million from acquisition through June 30.
- On an unaudited pro forma basis, assuming Smiths had been acquired January 1, 2021, combined revenue was $561.0 million in Q2 2022 versus $625.9 million in Q2 2021; first-half revenue was $1,124.8 million versus $1,227.5 million. Pro forma net loss was $7.5 million and $59.4 million, respectively, in 2022.
- Q2 operating expenses included a $27.2 million gain from the lower fair value of the contingent earn-out, largely offsetting other operating expenses. Q2 interest expense was $16.3 million; first-half interest expense was $29.9 million.
- Cash and cash equivalents plus short- and long-term investment securities were $270.7 million at June 30, versus $586.3 million at year-end. First-half investing cash use was $1.873 billion, including $1.844 billion for acquisitions; financing provided $1.645 billion.
Balance sheet, liquidity and debt
- At June 30, cash and cash equivalents were $255.7 million, short-term investments $13.2 million, current assets $1.190 billion and current liabilities $486.0 million.
- Long-term debt had a $1.682 billion principal balance, including $19.1 million current portion; carrying value net of issuance costs was $1.655 billion. Debt arose from $850 million Term Loan A and $850 million Term Loan B facilities used to help fund the Smiths acquisition. No revolver borrowings were outstanding; the revolving facility provides up to $500 million.
- Management said available cash, expected operating cash flow and credit facilities should meet cash requirements for the next 12 months. The company reported compliance with its debt covenants at June 30. A 1 percentage-point change in SOFR was estimated to change annual term-loan interest expense by approximately $16.8 million, before considering hedges.
Material changes, outlook and risks
- Gross margin declined year over year, which management attributed to Smiths Medical’s lower margins, purchase-accounting inventory step-up, quality-system and product-remediation spending, inflation in freight, labor and materials, and lower manufacturing absorption amid supply-chain disruptions. Higher sales of some higher-margin consumables partly offset these pressures.
- Legacy Infusion Consumables and Infusion Systems revenue increased; IV Solutions was flat for the first half and Critical Care declined slightly. Management said Smiths product-line revenue was below historical levels because of supply-chain and fulfillment constraints.
- Smiths Medical acquisition costs drove $42.5 million of first-half strategic transaction and integration expense. The filing provides no specific revenue or earnings guidance. Management identified integration, supply-chain, inflation, interest-rate, currency and COVID-19 uncertainties.
- Smiths Medical’s prior FDA Warning Letter concerned medical-device reporting and quality-system compliance at its Oakdale facility. ICU recorded an estimated $53.9 million liability for field corrective actions at June 30; actual costs depend on the work required to achieve regulatory clearance and may differ from the estimate.
- Smiths acquisition accounting remained preliminary. Its $100 million potential stock-price-based earn-out was valued at $26.1 million at June 30, down from an initial estimate of $53.5 million; fair-value changes can affect earnings. First-half comprehensive loss also included a $104.8 million foreign-currency translation loss.
- Management reported disclosure controls effective at a reasonable assurance level, but excluded Smiths Medical’s internal control over financial reporting from the evaluation. Smiths represented approximately 41% of consolidated assets and 40% of revenue for both Q2 and the first half.
