Management described planning for a Phase 3 sarcoma program (IT-03) and a Phase 2/3 presurgical breast cancer program (IT-04).

At June 30, cash and cash equivalents were $135,765, total assets $18.228 million, and total liabilities $3.094 million. Current assets included a $17.765 million IPO subscription receivable; those proceeds were received after quarter-end, so they were not June 30 cash. The company reported no convertible-note balance at June 30 after conversion into common shares; it also had no preferred shares outstanding. Six-month operating cash outflow was $1.139 million, versus $2.817 million in 2022. There were no investing cash flows. Profit margins are not meaningful because the company had no revenue.
Changes, outlook, and risks
- Operating expenses declined year over year, largely because IT-01 and IT-02 enrollment had ended and associated patient-care costs fell. R&D expense decreased 47% for the first half; G&A expense also declined.
- Net loss increased despite lower operating expenses, primarily due to a $2.262 million noncash loss recorded on conversion of convertible notes at IPO discounts, as well as higher interest expense.
- The June 2023 IPO sold 3.9 million shares at $5.00 per share. The company reported receiving net proceeds of $17.765 million on July 5 and an additional net $2.691 million from the underwriters’ overallotment, for total net proceeds of approximately $20.456 million. The notes say proceeds are intended for preclinical and clinical studies, regulatory filings, and general corporate purposes.
- Management expects substantial ongoing losses and expenses as it advances clinical programs, manufacturing, and operations; it does not expect significant near-term product revenue. It stated that post-IPO proceeds should fund the current operating plan until July 2025. A separate liquidity note says cash should be sufficient for 12 months from the financial-statement issuance date.
- The company cautions it will need substantial additional funding and has no committed external funding source. Failure to raise capital could delay, reduce, or terminate development. Product candidates may never receive regulatory approval or generate revenue.
- Disclosure controls were assessed as ineffective at the reasonable-assurance level. Management identified a material weakness in internal controls due to insufficient segregation of duties and a limited administrative staff. The filing reports no material change to the risk factors in the June 2023 IPO prospectus and no material pending legal proceedings.
- The prior office lease ended June 30; a new 66-month Shelton lease was signed July 7, with an option to terminate after 36 months. The company also disclosed potential loss of a Russian patent if future payments are restricted.
Investor verification points
- Confirm the timing and net amount of overallotment proceeds: the filing describes receipt on July 7 in one section but says the additional shares were sold July 10 elsewhere.
- Reconcile the stated runway estimates: July 2025 in MD&A versus 12 months from the August 14 statement-issuance date in the liquidity note.
- Track actual post-IPO cash use, clinical-trial spending, and funding needs against management’s operating plan.
- Monitor IT-03 and IT-04 start-up, regulatory and manufacturing milestones, and reported clinical results.
- Assess remediation of the disclosed material weakness and effectiveness of financial-reporting controls.
