Innoviva, Inc. — FY 2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. This is an annual report, not a standalone fourth-quarter earnings report; the filing provides selected Q4 GSK product sales but not Innoviva’s standalone Q4 financial statements.
Business context
Innoviva manages royalty rights and other healthcare assets. Its core royalties come from GSK respiratory products: RELVAR/BREO ELLIPTA, ANORO ELLIPTA and TRELEGY ELLIPTA. GSK controls product development, manufacturing and commercialization. Innoviva had five employees at year-end.

Results included a $91.0 million gain from changes in fair values of equity and long-term investments, versus $50.3 million in 2020; these valuation changes are a significant contributor to reported earnings.
At December 31, 2021, cash and cash equivalents were $201.5 million, royalty receivables $110.7 million, and equity and long-term investments $483.8 million. Total assets were $926.4 million; current liabilities were $5.8 million. The investment balance includes securities and partnership investments with differing liquidity, including locked-up funds.
Principal debt outstanding was $433.5 million: $241.0 million of 2.125% convertible subordinated notes due January 2023 and $192.5 million of 2.5% convertible senior notes due August 2025. Net carrying value of long-term debt was $394.7 million. Management said cash, investments and projected royalties were expected to cover operating and debt-service needs for at least 12 months.

Outlook, risks and contingencies
The filing gives no numerical revenue or earnings guidance. Management’s stated strategy is to maximize GSK royalty value, optimize capital allocation and diversify through healthcare acquisitions and investments. Major risks include dependence on GSK and a concentrated royalty base; pricing pressure, generic and branded competition, changing treatment standards and regulatory developments; and the possibility that commercial performance falls short of expectations.
Additional risks include investment valuation and liquidity, the limited withdrawal rights and lock-up provisions of ISP Fund LP, and debt obligations—particularly the 2023 maturity. Innoviva also disclosed that GSK believes consent may be required for certain royalty monetization transactions. The filing reports that arbitration disputes with Theravance Biopharma over TRC royalty distributions and investment authority were resolved largely in Innoviva’s favor; awards were confirmed by the Delaware Court of Chancery.
Subsequent to year-end, Innoviva agreed to invest $45.0 million in Armata in two tranches; the first, approximately $18.1 million, closed in February 2022, with the second subject to closing conditions. Innoviva also made a nonbinding proposal to acquire the remaining Entasis shares it did not own; completion was uncertain. The financial statements received an unqualified audit opinion, and management and the auditor reported effective internal control over financial reporting.
Most important facts for investors to verify
- Whether GSK product sales and net royalty receipts sustain growth, especially the differing trajectories of TRELEGY, RELVAR/BREO and ANORO.
- How much of reported earnings reflects recurring royalties versus investment fair-value gains, and how those investment values are determined.
- Liquidity and availability of investments, including ISP Fund LP lock-ups and required future capital contributions.
- The company’s plan and funding capacity for the $241.0 million notes due in January 2023, alongside any further acquisitions or capital returns.
- Completion, cost and ownership effects of the announced Armata investment and any Entasis transaction, which remained subject to conditions or negotiation.
