Ligand Pharmaceuticals Inc. — Q1 2014 Form 10-Q
Reporting period: Three months ended March 31, 2014; unaudited. Ligand’s business centers on royalty-generating assets and Captisol technology, with revenue from royalties, Captisol material sales, and collaboration and milestone payments.
Financial results
| Metric | Q1 2014 | Q1 2013 |
|---|---|---|
| Total revenue | $16.0 million | $11.7 million |
| Operating income | $5.1 million | $3.9 million |
| Net income | $2.1 million | $1.5 million |
| Diluted EPS | $0.10 | $0.07 |
| Cash from operations | $2.6 million | $2.1 million |
- Revenue rose 37%. Royalties increased to $7.9 million from $5.8 million, mainly on higher Promacta and Kyprolis royalties. Captisol material sales grew to $5.7 million from $1.5 million, primarily due to customer-purchase timing. Collaboration, R&D and other revenue fell to $2.4 million from $4.3 million, largely reflecting lower milestone revenue.
- Operating margin was approximately 32% versus 34%; net margin was approximately 13% versus 13%. Cost of sales rose to $2.5 million from $0.7 million, tracking higher material sales. R&D and G&A expenses each increased about $0.6 million.
- Cash and cash equivalents were $13.0 million and short-term investments $12.3 million at quarter-end, totaling $25.3 million. Working capital was $12.4 million. Total assets were $105.5 million; total liabilities $40.5 million.
- Operating cash flow was $2.6 million; investing activities used $1.0 million and financing activities used $0.2 million. Cash increased $1.3 million during the quarter.
- Notes payable had a $5.8 million current carrying value and were due August 1, 2014. The company repaid $3.4 million of debt during the quarter. Lease obligations totaled $13.2 million gross, partly offset by expected sublease receipts.
Material changes and unusual items
- Promacta and Kyprolis royalty growth was partly offset by declining Avinza royalties after generic competition entered in February 2014.
- Fair-value gains on the Avinza co-promotion obligation and related receivable followed the generic launch and lower expected Avinza sales. The liability and matching receivable each fell substantially; the company remains legally liable to Organon if Pfizer defaults.
- Q1 included a $1.9 million expense for increased contingent liabilities, chiefly the Metabasis CVR liability. The fair value of Metabasis CVRs rose to $6.7 million from $4.2 million at year-end. Ligand also paid $1.6 million to CVR holders and former license holders.
- Comprehensive income was $10.1 million, including an $8.2 million unrealized gain on available-for-sale securities; this gain was not operating income. Accumulated other comprehensive income rose to $10.9 million.
- Q1 milestones included $1.0 million from Onyx after Kyprolis exceeded $250 million in 2013 annual sales, $1.0 million following FDA approval of Merck’s Captisol-enabled NOXAFIL IV formulation, and $0.2 million after FDA acceptance of Lundbeck’s carbamazepine NDA.
Outlook, risks and contingencies
- Management expects cash, investments and anticipated operating receipts to fund operating and capital needs for at least 12 months. It cited Captisol sales and Promacta and Kyprolis royalty growth, while acknowledging possible need for additional financing and plans to reduce discretionary spending if results fall short. No quantitative earnings or revenue guidance was provided.
- The $5.8 million loan was scheduled to mature in August 2014. Management believed resources would cover repayment, but warned financing might not be available on acceptable terms.
- Key risks include dependence on Promacta, Kyprolis and Captisol revenue; sole-source Captisol supply; partner development, commercialization or termination decisions; regulatory and patent risks; and generic competition. Two customers accounted for 65% of receivables at quarter-end.
- A securities lawsuit against Ligand and its CEO, dismissed with prejudice in 2013, was on appeal; the company said the outcome was not presently determinable and intended to defend the claims. Management reported disclosure controls were effective and no material change in internal control over financial reporting during the quarter.
Investor verification priorities
- Confirm repayment or refinancing of the loan due August 1, 2014, and subsequent liquidity needs.
- Assess whether Captisol sales, royalties and milestone receipts are recurring or affected by purchase timing and partner performance.
- Track generic Avinza effects and the assumptions behind co-promotion receivable and liability valuations.
- Review changes in Metabasis and CyDex CVR liabilities, payments and revenue-sharing obligations.
- Monitor concentration in key products, customers and the sole Captisol supplier, as well as the securities litigation appeal.
