Revenue, segments and operating drivers
- Unit volume fell 24.1% to 1,698 boats, primarily because lower retail activity reduced dealer wholesale shipments. Net sales per unit rose 11.5% to $150,665, reflecting favorable model mix and price increases, partly offset by higher dealer flooring costs.
- Malibu segment sales declined 27.7% to $105.0 million; Saltwater Fishing sales edged up 0.4% to $92.6 million; Cobalt sales declined 10.2% to $58.2 million. Unit volumes declined in all three segments.
- Gross margin contracted as lower sales, increased dealer flooring program costs and a higher mix of Saltwater Fishing weighed on results. Management also cited inflation-related material and labor costs. Selling and marketing and general and administrative expenses rose as a share of sales.
Cash flow, debt and liquidity
- Operating cash flow was negative $48.4 million, versus positive $31.7 million a year earlier. Investing cash outflow was $39.5 million, principally capital expenditures; operating cash flow less capital expenditures was negative $87.9 million.
- Cash declined $33.5 million during the quarter to $45.5 million. The company ended the period with $65.0 million drawn on its revolving facility, $1.6 million of letters of credit and $283.4 million available to borrow. The facility matures July 2027; the stated borrowing rate was 6.72%. The company reported compliance with financial covenants.
- Current assets were $296.5 million and current liabilities were $152.4 million at September 30. The filing says cash on hand, operating cash generation and revolver availability are expected to support operations for at least the next 12 months.
- Capital expenditures were $39.5 million in the quarter. Management expects fiscal 2024 capital expenditures of $70–$80 million, including investment in the Roane County facility, new models, capacity and vertical integration. The facility purchase closed in July for approximately $33.3 million; further facility-related capital spending of approximately $14.1 million is expected.
Outlook, risks and unusual items
- Management said dealer inventory had normalized to pre-pandemic levels and that wholesale demand in the first half of fiscal 2024 would depend directly on retail activity. The filing provides no specific sales or earnings guidance.
- Management cited elevated interest rates as a potential constraint on consumer demand and dealer or retail financing. Other disclosed risks include inflation, supplier and labor disruptions, seasonality, competition, dealer financial health, warranty and product-liability exposure, and the company’s fixed-cost base.
- A $100.0 million settlement of Batchelder product-liability matters was paid in connection with the prior quarter’s settlement agreement. The company received approximately $21.0 million in insurance proceeds by September 30, recorded about $21.0 million in accrued legal and professional fees relating to coverage proceeds subject to insurer reservations, and is litigating against insurers seeking further recovery. Outcome is uncertain.
- The settlement and related payment were a major cash-flow factor; the company borrowed $75.0 million and repaid $10.0 million under its revolver during the quarter. Adjusted EBITDA excludes $0.9 million of product-liability legal and advisory fees; it is a non-GAAP measure and should be considered alongside GAAP results.
- The company repurchased 199,276 shares for $9.6 million during the quarter. On October 26, 2023, the board authorized a new repurchase program of up to $100.0 million for November 8, 2023–November 8, 2024, intended to be funded from cash on hand.
