Latin America revenue fell 10.2% and segment income fell 27.3%; North America segment income declined 25.8%, partly due to pension-related charges.
Cash and cash equivalents were $1.1 billion. The company reported $3.1 billion of commercial paper outstanding and no borrowings on its $4.5 billion multi-year revolving credit facility at year-end. Approximately $2.7 billion of long-term debt was expected to mature within the next 12 months.
Material changes, outlook, and risks
- KDP transaction: Mondelēz’s Keurig investment and shareholder loan became a 13.8% interest in Keurig Dr Pepper after its July 2018 merger. The company recognized a $778 million pretax gain ($586 million after tax); it retained significant influence and equity-method accounting.
- Pension withdrawal: The company withdrew from a U.S. multiemployer pension fund and estimated a $573 million liability, recording a discounted $423 million pretax charge in 2018. The final assessment was expected in 2019; payments are expected over 20 years from assessment.
- Restructuring: The Simplify to Grow program was extended through 2022 and increased to a total $7.7 billion program, comprising $5.4 billion of charges and $2.3 billion of capital expenditures. Cumulative restructuring and implementation charges were $3.9 billion through 2018.
- Other unusual items: The company recorded $68 million of trademark impairments, a $140 million debt-extinguishment loss, and an $11 million Argentina currency remeasurement loss. Argentina was treated as highly inflationary beginning July 2018.
- Outlook: Management expected 2019 aggregate commodity costs to be slightly higher and projected capital expenditures of up to $1.0 billion. The filing text does not provide a clear numerical 2019 revenue-growth or EPS guidance target. It noted that global snack-category growth was approximately 2.7% in 2018.
- Key risks and contingencies: Foreign-exchange volatility, commodity and packaging costs, pricing and competitive pressure, consumer preference changes, retail customer concentration, and potential Brexit-related tariffs or supply disruption were identified as risks. The UK represented 8.6% of 2018 revenue. The company also cited cybersecurity and business-continuity risks, including the 2017 malware incident; tax uncertainty; pension funding exposure; and ongoing legal matters, including U.S. wheat-market litigation and Indian excise-tax disputes.
- Assurance: The independent auditor issued an unqualified opinion on the financial statements and internal control over financial reporting; management also concluded controls were effective at year-end.
Important facts for investors to verify
- Separate recurring operating performance from the $586 million after-tax KDP gain and other excluded items; compare GAAP results with the company’s non-GAAP reconciliations.
- Track organic growth drivers—pricing versus volume/mix—and the contrasting 2018 performance of Latin America and North America versus Europe and AMEA.
- Confirm the final multiemployer pension withdrawal assessment, payment schedule, and related cash-flow impact.
- Review 2019 debt maturities, refinancing plans, commercial-paper dependence, and liquidity against the company’s dividend and repurchase commitments.
- Monitor Brexit outcomes, currency and inflation exposure (especially Argentina), input-cost trends, and whether pricing can offset cost increases without weakening volumes.
- Assess whether restructuring spending and the Tate’s Bake Shop acquisition deliver the expected growth and cost benefits, and whether additional brand impairments emerge.
