MercadoLibre, Inc. — FY2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. This is an annual filing, not a standalone Q4 report; selected fourth-quarter results are included below. Unless noted otherwise, amounts are U.S. dollars.
Business context

Brazil, Argentina and Mexico generated 93.6% of FY2021 revenue. Management emphasizes long-term investment and does not provide traditional earnings guidance.
Financial performance and liquidity
| Metric | FY2021 | FY2020 |
|---|---|---|
| Net revenue | $7.069 billion | $3.973 billion |
| Gross profit / margin | $3.005 billion / 42.5% | $1.709 billion / 43.0% |
| Operating income / margin | $440.7 million / 6.2% | $127.7 million / 3.2% |
| Net income (loss) | $83.3 million | $(0.7) million |
| Operating cash flow | $965.0 million | $1.183 billion |
| Investing cash flow | $(1.597) billion | $(252.2) million |
| Financing cash flow | $1.925 billion | $242.3 million |
- Revenue increased 77.9% as reported, or 93.9% on the company’s foreign-exchange-neutral basis. Commerce revenue rose 81.1% to $4.635 billion; fintech revenue rose 72.2% to $2.434 billion.
- Growth reflected higher commerce activity and first-party sales, as well as increased off-platform payments, credit and financing. GMV was $28.351 billion, up 35.5%; total payment volume was $77.371 billion, up 55.5%.
- Gross margin declined 0.5 percentage points, mainly from higher shipping costs and cost of products sold, partly offset by lower collection fees as a share of revenue. Operating margin improved with revenue growth and marketing efficiencies, partly offset by higher bad-debt expense.
- Net income improvement included an unfavorable increase in other expenses: interest and other financial losses were $228.7 million, including $49.2 million related to repurchasing 2028 Notes, and foreign-currency losses were $109.3 million.
- Operating cash flow fell 18.4%, principally reflecting increased credit-card receivables and working-capital needs. Capital expenditures were $630.1 million. Operating cash flow less capital expenditures was approximately $334.9 million, a simple calculation rather than a company-reported measure.
- At year-end, cash and cash equivalents were $2.585 billion and short-term investments were $809.5 million. Management cited $2.792 billion of cash, cash equivalents and short-term investments excluding $602.2 million held mainly for a Brazilian Central Bank guarantee. Restricted cash was a further $1.063 billion; not all reported cash and investments are freely available.
- Loans payable and other financial liabilities totaled $3.519 billion on the balance sheet, including $1.285 billion current and $2.233 billion non-current. The company issued $400 million of 2.375% notes due 2026 and $700 million of 3.125% notes due 2031; approximately $440 million principal remained on its 2028 convertible notes after a substantial repurchase.
Fourth-quarter and operating changes
- Q4 2021 revenue was $2.131 billion versus $1.327 billion in Q4 2020. Gross profit was $853.2 million versus $489.0 million.
- Q4 net loss was $46.1 million, compared with a $50.6 million loss in Q4 2020. For FY2021, unique active users were 139.5 million versus 132.5 million; successful items sold were 1.014 billion versus 719.3 million.
- Loans receivable, net, increased to $1.260 billion from $401.7 million. The allowance for uncollectible loans rose to $434.6 million from $77.8 million; the auditor identified its expected-credit-loss estimate as a critical audit matter.
- The company raised $1.520 billion net through a November 2021 equity offering and repurchased $485.9 million of common stock during the year. Capital expenditures increased from $254.1 million in 2020 to $630.1 million.
Outlook, risks and unusual items
- Management expects continued investment in technology, logistics, product development, marketing and credit, but gives no traditional earnings forecast. The filing cautions that margins may be pressured by logistics expansion, first-party sales, competition and ongoing investment.
- Key risks include Latin American currency depreciation, inflation and exchange controls; regulatory changes affecting payments, lending, data and e-commerce; intense competition; cyber incidents and service interruptions; logistics execution; and credit losses. Argentina’s reported inflation rate was 50.9% in 2021.
- COVID-19 accelerated e-commerce and online payments, while restrictions hurt some offline payment activity. Management says the future effects are uncertain, including the possibility that customer behavior may revert as restrictions ease.
- In 2021 the company acquired logistics platform Kangu and Chilean payments provider Redelcom. It also purchased $30 million of bitcoin and ethereum and recorded $8.6 million of impairment. Digital assets are accounted for as indefinite-lived intangible assets, so declines below carrying value can trigger impairment.
- Argentina’s Central Bank adopted a rule requiring full reserves for funds held by certain payment providers, effective January 1, 2022. MercadoLibre appealed; the filing reports no decision as of its issuance. Mexico’s fintech license application remained under review.
- Accrued legal and other proceeding-related contingencies were $12.8 million; additional reasonably possible legal actions were estimated at up to $65.8 million, for which no loss was accrued. The buyer-protection program’s estimated maximum potential exposure was $2.964 billion, against a recorded provision of $4.7 million; management says the maximum is not representative of expected losses.
- The company reported an $8.6 million digital-asset impairment and a $49.2 million loss associated with the 2028 Notes repurchase. The board has paid no common-stock dividend since Q1 2018, prioritizing reinvestment.
Important facts for investors to verify
- Whether rapid revenue and payment-volume growth can continue while gross margin and cash conversion remain under pressure.
- Credit portfolio performance, including loan delinquency, charge-offs, reserve adequacy and funding needs as lending scales.
- Usable liquidity after regulatory restrictions, customer-fund obligations and collateral requirements, alongside the growth and terms of debt.
- Exposure to currency devaluation, inflation, exchange controls and changing fintech regulations, particularly in Brazil and Argentina.
- Whether logistics investment, first-party sales and recent acquisitions improve service and returns without further margin deterioration.
- The effects of the Argentina reserve rule and pending Mexican licensing process, and developments in the disclosed legal and tax contingencies.
- The filing reports unqualified audit opinions on the financial statements and internal control over financial reporting; acquired Kangu and Redelcom were excluded from management’s year-end controls assessment.
