Business context
MercadoLibre operates an online commerce ecosystem across Latin America, combining its marketplace and classifieds with MercadoPago payments, MercadoEnvios shipping, advertising, webstores and, beginning in Q4 2016 in Argentina, merchant lending through MercadoCredito. Brazil and Argentina generated about 85% of 2016 consolidated revenue.

FY2016 revenue growth reflected expansion in payment, shipping and other non-marketplace services as well as marketplace activity. Marketplace revenue was $491.6 million, up 25.1%; non-marketplace revenue was $352.8 million, up 36.3%. Brazil revenue rose 56.6% to $455.0 million; Argentina rose 7.0% to $262.3 million. Venezuela revenue fell 8.1% to $37.2 million, primarily reflecting currency devaluation. The company said currency movements reduced reported 2016 revenue by approximately $265.6 million versus applying prior-year exchange rates; its FX-neutral measure is non-GAAP and does not capture inflation or other macroeconomic effects.
Marketplace GMV was $8.0 billion, up 12.5%; successful items sold rose 41.0% to 181.2 million. Total payment volume rose 49.6% to $7.8 billion. MercadoPago processed $5.6 billion of on-marketplace payments, equal to 69.9% of marketplace GMV, versus 52.6% in 2015. These operating measures are not equivalent to recognized revenue.
For Q4 2016, revenue was $256.3 million, gross profit $162.7 million and net income $51.3 million. The filing also identifies Q4 as typically the strongest seasonal quarter.
At year-end, cash and cash equivalents were $234.1 million, short-term investments $253.3 million and long-term investments $153.8 million, or $641.3 million combined. Current assets were $869.5 million and current liabilities $576.6 million. Current liabilities included $370.7 million of funds payable to customers, so the current ratio should be interpreted in light of the payments business. Total assets were $1.37 billion; equity was $428.9 million.
Loans payable and other financial liabilities totaled $313.5 million, including $300.9 million carrying value for the 2.25% convertible notes due 2019. The notes have $330 million principal outstanding, subject to conversion and settlement terms; the conversion threshold was met at September 30, 2016 but not in Q4. Contractual obligations totaled $539.9 million, including debt obligations, leases and purchase commitments. Operating cash flow declined mainly as credit-card receivables increased. Capital expenditures were $84.7 million; dividends declared were $26.5 million, or $0.60 per share.
Material changes versus prior periods
- Revenue growth accelerated from 17.1% in 2015 to 29.6% in 2016 as reported, while the company’s FX-neutral growth calculation was 70.3%.
- Profit increased, but gross margin contracted from 67.0% to 63.6%. Management attributed pressure primarily to greater payment and shipping penetration, higher collection fees and sales taxes, and customer-support costs.
- Operating margin remained 21.4%, supported in part by lower impairment charges; the 2016 income statement included a $13.7 million Venezuelan long-lived-asset impairment, versus $16.2 million in 2015 and $49.5 million in 2014.
- Non-marketplace revenue grew faster than marketplace revenue, and the share of marketplace GMV paid through MercadoPago increased substantially.
- Cash from operations and free cash flow declined year over year despite higher net income, with increased credit-card receivables a key cash-flow use.
Outlook, commentary, risks and unusual items
- Management does not provide traditional near-term earnings guidance, citing forecasting uncertainty and a long-term operating focus. It expects to continue investing in product development, technology, marketing, payments and shipping; it cautioned that these investments and higher payment/shipping penetration may pressure margins.
- MercadoCredito launched in Argentina in Q4: approximately $10.3 million of credit had been extended by year-end, with $6.3 million outstanding. The new lending activity adds credit-loss and model-performance risk.
- Foreign exchange is a significant exposure. Venezuela is treated as highly inflationary; the company used the SIMADI rate of approximately 674 bolivars per U.S. dollar at year-end and recorded a $13.7 million asset impairment in 2016. Venezuela contributed 4.4% of consolidated revenue and 10.1% of consolidated net assets.
- MercadoPago’s Brazilian payment-institution authorization remained pending. Changes in payment, lending, shipping, consumer-protection, tax or data regulations could require operating changes, added costs or service limits.
- The company disclosed extensive user-fraud, cybersecurity, service-interruption, competitive, and third-party carrier/payment-provider risks. It also identified currency volatility and economic and political uncertainty across Latin America as material risks.
- Probable proceeding-related reserves were $5.6 million; additional reasonably possible legal actions were estimated at up to $4.5 million. Brazilian tax disputes included court deposits, and further tax claims were pending. Management reported effective disclosure controls and internal control over financial reporting; the independent auditor issued unqualified opinions.
- The Argentine software-development tax holiday contributed a reported $22.6 million income-tax benefit in 2016. Its benefits depend on continued eligibility requirements. A new revenue-recognition standard was expected to be adopted in 2018; the company was still assessing its effects.
Important facts for investors to verify
- Reconcile reported growth with FX-neutral growth, and assess how exchange rates, inflation and local pricing affect underlying demand and margins.
- Track gross margin, payment and shipping costs, customer-support expense, and the cash-conversion impact of MercadoPago receivables and funds payable to customers.
- Review the composition and liquidity of the $641.3 million cash-and-investments balance, including geographic location and currency exposure.
- Confirm the convertible notes’ conversion status, potential settlement dilution or cash requirements, and the company’s capacity to meet 2019 maturity obligations.
- Monitor MercadoCredito loan performance, delinquencies and loss allowances as the lending portfolio grows.
- Follow Brazilian payment authorization, material tax and consumer litigation, and further Venezuelan currency, regulatory or asset-impairment developments.
- Assess dividend sustainability alongside investment needs, contractual obligations and the stated long-term growth strategy.
