Mannatech, Inc. — FY 2018 Form 10-K
Reporting period: Fiscal year ended December 31, 2018; comparisons are with FY 2017. This is an annual filing, not a separate fourth-quarter report. Mannatech sells nutritional supplements, skin care and wellness products primarily through network marketing across the Americas, EMEA and Asia/Pacific; its China business uses cross-border e-commerce.
Financial performance and position
| Metric | FY 2018 | FY 2017 |

| Net sales | $173.6 million | $176.7 million |
| Gross profit / margin | $139.1 million / 80.1% | $141.0 million / 79.8% |
| Operating income (loss) | $(0.1) million | $2.5 million |

| Cash from operating activities | $(0.2) million | $10.3 million |
- Sales and margins: GAAP net sales fell 1.8%; constant-dollar sales fell 2.7%, with favorable currency translation adding $1.7 million to reported sales. Gross margin improved 0.3 percentage points, which management attributed mainly to currency and product mix.
- Expenses: Total operating expenses rose $0.7 million to $139.2 million. Other operating costs increased $2.8 million, including $1.3 million of non-recurring headquarters relocation costs. Commissions and incentives were $73.5 million, or 42.4% of sales.
- Tax: The 894.7% effective tax rate reflects the small pre-tax income base and effects including earnings mix, valuation allowances and GILTI. The company recorded a $12.8 million valuation allowance against deferred tax assets; net deferred tax assets were $1.9 million.
- Liquidity: Cash, cash equivalents and restricted cash totaled $30.6 million at year-end, down $16.2 million from 2017; unrestricted cash and equivalents were $21.8 million. Working capital declined to $8.8 million from $22.8 million. Management said liquidity and operating cash flows should fund expected operations for the next 12 months.
- Debt and obligations: Notes payable were $1.6 million and capital lease obligations were $0.1 million. Contractual commitments totaled $20.9 million, including $9.8 million of required aloe-product purchases through 2020 and $7.3 million of operating leases.
- Cash uses: Investing activities used $2.3 million. Financing activities used $12.1 million, including $7.5 million for share repurchases, $3.1 million for dividends and $1.5 million for capital lease repayments.
Material changes versus FY 2017
- Americas sales fell 8.6% to $58.7 million; Asia/Pacific sales rose 2.9% to $101.7 million; EMEA sales fell 3.6% to $13.2 million.
- Active associate and preferred-customer positions declined to approximately 200,000 from 215,000. Orders fell 5.2%, while average product order value rose to $197 from $182.
- The 2017 compensation-plan changes shifted some markets from product packs to annual associate fees. Pack sales and associate fees declined 82.4% to $2.5 million; product sales rose 7.8% to $170.2 million. The filing says $3.2 million of freight revenue was classified in product revenue following adoption of ASC 606; adoption had no material overall financial impact.
- Net loss widened by $2.1 million, and operating cash flow fell from positive $10.3 million to negative $0.2 million, largely alongside increased inventory and lower deferred revenue.
- Shareholder returns increased: the company paid $3.1 million in dividends versus $1.4 million in 2017 and completed a tender offer for 316,659 shares at $21 per share for $6.6 million, excluding fees.
Outlook, risks and contingencies
- No quantitative revenue or earnings guidance is provided. Management’s outlook depends on maintaining or improving sales relative to operating expenses; it notes additional financing may be needed if cash resources prove insufficient.
- Key business risks include associate recruitment and retention, regulatory oversight of network marketing and product claims, competition, foreign-currency movements, and dependence on a small group of products. Five leading products represented 55.8% of FY 2018 sales; Advanced Ambrotose alone represented 25.4%.
- Supply concentration warrants attention: four suppliers accounted for 72.4% of cost of sales in 2018. The company said it had not identified an alternative supplier for Arabinogalactan, an ingredient used in Ambrotose.
- Regulatory matters include a Korean Fair Trade Commission audit of commissions and bonuses, which was ongoing and whose outcome was uncertain. The FDA’s October 2018 inspection found no objections to corrective actions responding to its 2017 Warning Letter; the company received a March 2019 request to meet and discuss those actions and said further requests remained possible.
- A Korean customs assessment dispute remained open; the company had paid $1.0 million and anticipated a decision on appeal in the second quarter of 2019. The filing also identifies ongoing tax audits and other claims but says outcomes and potential losses could not be estimated clearly.
- Management cited the launch of Empact+ and Ambrotose Life in 2018. It also expects adoption of the lease accounting standard to add right-of-use assets and lease liabilities, without a material effect on operating results or cash flows.
Investor verification priorities
- Review the drivers of negative operating cash flow, the inventory build and the $16.2 million reduction in cash, including restricted-cash availability and the concentration of assets and operating cash flows in South Korea.
- Assess whether the compensation-plan transition can stabilize associate positions and sales, particularly in the Americas, and whether order growth can resume.
- Track the Korean regulatory audit, FDA follow-up meeting and Korean customs appeal for outcomes, potential costs or operational restrictions.
- Evaluate the sustainability of the unusually high tax provision, deferred-tax-asset valuation allowances and future cash-tax exposure.
- Monitor reliance on leading products and suppliers, including the aloe purchase commitment and lack of an identified Arabinogalactan alternative.
