Q2 Clinical Services revenue was $123.2M, up 16.6%; Advanced Diagnostics revenue was $23.8M, up 22.2%. For the six months, the segments generated $238.0M and $46.1M, respectively, increases of 16.4% and 21.9%.

Management attributed Clinical Services growth to higher testing volume, favorable test mix, and higher average unit pricing from reimbursement and pricing initiatives. Advanced Diagnostics growth reflected project timing. Gross margin improvement primarily reflected revenue growth, partly offset by higher supplies and payroll costs. Q2 operating expenses included $3.1M of restructuring charges; first-half charges were $7.8M.

Cash, liquidity, and debt

  • Cash and cash equivalents were $289.1M at June 30, 2023; marketable securities were $120.3M. Working capital was $489.9M, versus $539.6M at year-end 2022.
  • Operating cash use was $14.2M for the first half, improving from $46.0M used a year earlier. Investing activities provided $38.7M, principally reflecting proceeds from marketable-security sales and maturities; capital expenditures were approximately $17.5M. Cash increased by $25.9M during the period.
  • Convertible notes had $536.8M net carrying value. Principal amounts are $201.3M of 1.25% notes due May 2025 and $345.0M of 0.25% notes due January 2028. Neither series was convertible in Q3 2023 under its stock-price conversion condition.
  • Management said cash, marketable securities, and collections should fund near-term operating and capital needs for at least 12 months. It forecast 2023 capital expenditures of $30M–$40M.

Outlook, risks, and unusual items

  • The restructuring program is expected to conclude by December 31, 2023; management forecast approximately $1.2M of additional charges in 2023.
  • Management expects research and development spending to rise in future quarters as it invests in innovation and new tests. It also expects higher sales commissions in coming quarters as sales representatives generate business.
  • A regulatory investigation concerning certain consulting and service agreements is ongoing with the DOJ leading the investigation, following voluntary notification to HHS-OIG. The company recorded an $11.2M reserve, its estimate of the minimum probable loss; it cannot estimate any additional loss range or predict the investigation’s duration or outcome. Additional penalties, remediation, or operating restrictions could be material.
  • Natera patent litigation concerning Inivata tests remains in discovery; Natera filed another RaDaR-related complaint against NeoGenomics on July 31, 2023. The company says it has defenses, but outcomes are not estimable or probable. Shareholder class and derivative suits are also pending, with outcomes not estimable or probable.
  • The company reported a three-year cumulative loss position and a valuation allowance against certain deferred tax assets. It cautioned that reimbursement changes, regulation of laboratory-developed tests, billing and collections, competition, execution of growth and cost-reduction plans, and debt obligations could affect results.

Most important facts for investors to verify

  • Whether revenue growth and the improved gross margin persist, particularly as testing mix, pricing, and project timing change.
  • Whether operating cash use continues to improve and whether liquidity supports the stated capital-spending plans and at least 12 months of needs.
  • The actual timing and total cost of restructuring, compared with the remaining $1.2M estimate.
  • Developments in the DOJ/OIG matter, including whether the $11.2M reserve remains adequate, and the status of patent and shareholder litigation.
  • Debt repayment or refinancing capacity as the $201.3M 2025 notes approach maturity; the filing reports substantial cash and securities but continued operating losses.
