For the nine months ended April 30, revenue was $1.369 billion, up 15%; GAAP net loss was $241.3 million, compared with $647.6 million. Net cash provided by operating activities was $214.1 million, versus $29.5 million; free cash flow was $161.5 million, versus negative $4.7 million. Management attributed the operating cash flow improvement primarily to better collections.

At April 30, cash and cash equivalents were $439.9 million and short-term investments were $918.6 million, totaling approximately $1.358 billion. Current assets were $1.729 billion and current liabilities $1.133 billion. Net carrying value of the 2026 and 2027 convertible notes was approximately $1.207 billion; the company repaid $145.7 million of 2023 notes at maturity in January 2023. Management expects available cash and investments to cover anticipated working-capital and capital needs for at least 12 months, while warning that cash flow may fluctuate.

Changes versus prior comparable periods

  • Q3 revenue growth slowed to 11% from 17% a year earlier; nine-month growth was 15% versus 19%.
  • Support, entitlements and services revenue grew 16% in Q3, while product revenue grew 6%. Management cited customer-base and renewal growth, partly offset by shorter average contract terms associated with the subscription transition.
  • Gross margin improved to 81.6%. Sales and marketing expense declined 2% in Q3, while R&D was approximately flat and G&A rose 33%, primarily reflecting litigation and investigation-related costs and higher personnel costs.
  • Q3 GAAP operating and net losses narrowed. For the nine-month comparison, the prior-year loss included a $198.0 million change in fair value of the 2026 Notes derivative liability and $64.9 million of debt-extinguishment loss; these items did not recur in 2023.

Outlook, risks and unusual items

  • The filing provides no numerical revenue or earnings guidance. Management says it is pursuing profitable growth, investing in product development and sales opportunities, and improving go-to-market efficiency.
  • Management reported higher-than-normal sales-representative attrition; approximately 75% of the global sales team was fully ramped at April 30. Replacement and training take time, and sales cycles, subscription terms and customer payment choices may affect billings, revenue and cash flow.
  • An August 2022 restructuring targeted approximately 270 employees, or 4% of headcount. Charges recognized through April 30 totaled $16.5 million; the remaining liability was $0.6 million.
  • The Audit Committee completed an investigation into non-compliant use of third-party evaluation software. It found no evidence of wrongdoing by current senior management or finance, legal or accounting departments, but identified intentional misconduct by certain employees, who were terminated. The company identified a material weakness in internal control over financial reporting and said disclosure controls were ineffective as of April 30. Remediation is underway and is not yet considered complete.
  • The company prospectively corrected an immaterial understatement of historical software-license and support expenses, dating to August 2014. It cautions that estimated future payments for past non-compliant software use may differ materially from actual amounts.
  • A proposed $71.0 million settlement of earlier securities class actions was accrued; $39.9 million was recorded as an insurance receivable. Preliminary court approval was granted, with a final hearing scheduled for October 2023. New securities and derivative actions filed in 2023 are at an early stage, and potential liabilities are undetermined.
  • Other exposures include up to $97.4 million of non-cancelable purchase obligations and other commitments and $57.1 million of contract-manufacturer guarantees. The business also faces partner and hardware supply-chain dependence, competition, foreign-exchange exposure and risks from the ongoing subscription transition.

Investor facts to verify

  • Whether the material weakness remediation is implemented, tested and effective, and whether reporting controls remain reliable.
  • The final securities settlement amount, insurance recoveries, and developments in the newer lawsuits or any regulatory inquiries.
  • Whether subscription growth, ARR and billings translate into recognized revenue and sustainable cash generation; these operating measures are not GAAP measures.
  • The maturity, conversion and cash-settlement implications of the 2026 and 2027 convertible notes, including accrued PIK interest.
  • Sales-team productivity and attrition, contract-term trends, and the effect of customer demand and partner dependence on future results.
