Material changes and capital allocation

  • Operating cash flow declined to $74.9 million from $85.2 million, despite higher net income; receivables and other working-capital movements affected cash generation.
  • Debt decreased from $942.2 million at year-end to $920.2 million. Interest expense fell to $8.1 million from $10.1 million, partly reflecting lower average debt and rates.
  • The company repurchased approximately 2.2 million shares for about $20.1 million in Q1, at a weighted-average price of $9.12; $123.3 million remained authorized.
  • Capital spending exceeded the prior-year quarter. Management projected 2014 capital expenditures of approximately $170–$180 million for the remainder of the year.

Outlook, management commentary and risks

For Q2 2014, management forecast revenue of $738–$768 million and gross margin of 34.7%–36.6%; average selling prices were expected to decline approximately 1% from Q1. Q2 guidance included Truesense Imaging, acquired April 30, 2014, for approximately $95 million after closing adjustments. Management said cash, cash equivalents and short-term investments were expected to fund operating and capital needs for at least 12 months. Approximately $369.2 million of cash and investments was available in the U.S.; some foreign-held funds were intended to remain indefinitely reinvested.

Restructuring included a Japan voluntary retirement program and closure of the KSS facility, planned by the end of Q2 2014. Approximately 290 of 350 employees accepting retirement packages had retired by quarter-end. The company expected further restructuring charges and projected first-year savings of $36–$45 million after anticipated headcount reductions. Q1 restructuring expense was $5.8 million, compared with a $6.0 million net benefit in Q1 2013.

Management cited semiconductor cyclicality, uncertain demand, pricing pressure, customer and distributor inventory changes, manufacturing yield and supply risks, foreign exchange, restructuring execution, acquisition integration, litigation, leverage and debt covenants among factors that could affect results. A 50-basis-point increase in rates was estimated to raise annual interest expense by about $2.5 million before offsets. Management reported no material change in previously disclosed risk factors and stated that it was in compliance with debt covenants. Legal matters were not expected to have a material effect based on information available, though unfavorable outcomes could be adverse. No goodwill impairment trigger was identified at quarter-end. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting.

Important facts for investors to verify

  • Cash conversion and working-capital trends, particularly receivables, inventories and distributor-related deferred income.
  • Debt maturities and refinancing needs, including the convertible notes’ earliest put date in 2016, and compliance with financing covenants.
  • Capital spending plans, share repurchases and the availability of foreign-held cash for U.S. requirements.
  • Exposure to pricing declines, semiconductor-cycle volatility, currency movements, product liability and legal contingencies.
