OPAL Fuels-related 10-Q summary
Important scope: This is ArcLight Clean Transition Corp. II’s unaudited 10-Q for the quarter ended March 31, 2022, not an operating-company 10-Q from OPAL Fuels Inc. ArcLight was a blank-check company seeking to combine with Opal Fuels LLC; its reported results do not show Opal Fuels’ operating performance.
Business context and reporting period
ArcLight had not commenced operations and reported no operating revenue. Its activity consisted of formation, its March 2021 IPO, and pursuing a business combination. It had signed a merger agreement with Opal Fuels LLC on December 2, 2021. The proposed transaction contemplated a $1.502 billion pre-transaction equity value, subject to an adjustment for the Ares note, and was expected to close in late first half of 2022, subject to shareholder approval and other closing conditions.
Financial results and liquidity
| Metric | Q1 2022 or March 31, 2022 |
|---|---|
| Revenue | None; the company had not begun operations. |
| General and administrative expense | $1.391 million. |
| Net income | $3.885 million, including a $5.252 million noncash gain from the decrease in fair value of warrant liabilities and $25,000 of trust investment income. |
| Operating cash flow | $(252,273) for the quarter. |
| Cash outside the trust | $559,253; working capital was approximately $1.1 million. |
| Trust investments | $311.200 million, held for the business combination or shareholder redemptions; not ordinary operating liquidity. |
| Total liabilities | $36.530 million, including $20.544 million of warrant liabilities, $10.891 million of deferred underwriting commissions and $4.892 million of deferred legal fees. |
| Debt | No long-term debt reported; no working-capital loans were outstanding at March 31. |
Margins are not meaningful because ArcLight had no revenue. The $3.885 million profit was driven by warrant remeasurement rather than business operations. Compared with the prior reported period—January 13, 2021 inception through March 31, 2021—ArcLight reported a $320,000 net loss; that inception-period comparison is not a like-for-like quarter.
Transaction, outlook, risks and unusual items
- The original PIPE commitment was $125 million for 12.5 million shares at $10 per share. On May 11, 2022, investors representing $110.806 million of that commitment extended termination rights to July 29, 2022; the PIPE remained conditional on closing the business combination.
- Potential earnouts included 5 million shares and corresponding Opal units if 2023 annual EBITDA exceeded $238 million, and another 5 million if 2024 EBITDA exceeded $446 million. If the first threshold was missed but the second met, both tranches would be issued.
- The combination deadline was March 25, 2023. If no transaction closed by then, ArcLight generally had to redeem public shares from the trust and liquidate.
- After quarter-end, on May 14, 2022, the IPO underwriters withdrew from the business combination and waived approximately $10.89 million in deferred commissions. On May 16, the Sponsor provided a non-interest-bearing $1 million note, due at the earlier of the business combination or September 25, 2023.
- Management said available working capital and anticipated Sponsor or affiliate borrowing would meet needs through the earlier of a business combination or one year from filing. The company also disclosed that COVID-19’s specific impact was not determinable.
- Disclosure controls were ineffective at March 31 due to a material weakness in accounting for complex share and warrant terms. The weakness had resulted in restatements of 2021 financial information; management said remediation efforts were continuing.
- Two purported shareholders sent demand letters alleging omissions in the merger Form S-4. ArcLight denied the allegations and said it believed the claims lacked merit; further letters or complaints could follow.
- The filing reports $311.200 million in trust investments, while its use-of-proceeds discussion separately states that $277.5 million was placed in the trust. The filing text does not reconcile these figures clearly.
Most important facts for investors to verify
- Whether and when the Opal Fuels business combination closed, and the final transaction terms, redemptions and financing actually received.
- Whether the amended PIPE commitments remained in force and how much PIPE capital ultimately funded.
- Opal Fuels’ standalone operating results and the assumptions supporting the 2023 and 2024 EBITDA earnout thresholds; this SPAC filing does not provide Opal’s operating performance.
- The trust balance and reconciliation of the $311.200 million reported balance with the $277.5 million use-of-proceeds figure.
- Progress in remediating the material weakness and any subsequent accounting or control disclosures.
