  • Revenue fell 25.9%, primarily because PhunToken revenue decreased by $1.5 million; FY2023 PhunToken revenue was not significant.
  • Operating expenses rose to $47.377 million from $27.540 million, principally due to a $25.819 million non-cash goodwill impairment. Goodwill was written off in full.
  • Other income was $3.776 million, including a $5.310 million realized gain on digital-asset sales. Digital assets fell from $10.137 million to $75,000; the filing records a $50,000 impairment in 2023.
  • Adjusted EBITDA, a non-GAAP measure, was a loss of $15.487 million versus a loss of $20.761 million. Adjusted gross margin was 44.1% versus 57.0%; these measures exclude specified items and should be considered alongside GAAP results.
  • At December 31, current liabilities were $16.503 million against current assets of $4.961 million; stockholders’ equity was a deficit of $11.457 million. Current maturities of long-term debt, net, were $4.936 million. The $12.8 million 2022 promissory note was converted and paid in full in February 2024.

Changes, outlook and material matters

  • Business and operations: Lyte was classified as a discontinued operation and its wind-down was generally completed by year-end. It recorded revenue of $7.567 million and a net loss of $10.953 million in FY2023.
  • Liquidity and financing: Management expects operating losses and negative operating cash flows to continue, and does not expect near-term profitability. It said subsequent equity financings generated approximately $20.8 million in net proceeds and, together with the note’s repayment, provide sufficient cash for at least one year after filing. Additional capital may still be needed, with no assurance it will be available on acceptable terms.
  • Revenue visibility: Management reported backlog of $2.750 million and deferred revenue of $1.909 million at year-end, down from $3.824 million and $2.805 million, respectively. It expects about 40% of backlog to be invoiced in the following 12 months. The notes report remaining performance obligations of $4.688 million, versus $4.659 million for backlog plus deferred revenue in MD&A.
  • Leadership and listing: Michael Snavely became CEO in October 2023. After a 1-for-50 reverse stock split, Nasdaq notified the company on March 12, 2024 that it had regained bid-price compliance, subject to a one-year Panel monitor.
  • Legal and controls: In March 2024, Phunware agreed to pay former counsel WSGR $2.194 million to settle litigation and arbitration. A separate stockholder lawsuit remains unresolved; the company has not accrued a loss because it is not considered probable or reasonably estimable. Management found internal control over financial reporting ineffective due to material weaknesses involving IT general controls and segregation of duties, while disclosure controls were deemed effective.
  • Concentration and risk: Three customers represented 35% of FY2023 revenue. Key risks include recurring losses, financing and dilution, customer concentration and renewals, litigation, privacy and cybersecurity, digital-asset volatility and regulation, and execution of the evolving strategy and CEO transition.

Important facts for investors to verify

  • Cash runway assumptions, subsequent financing proceeds, and the effect of note conversions and new share issuance on dilution; 8,027,082 shares were outstanding as of March 8, 2024.
  • Whether the company can stabilize core platform revenue and margins as PhunToken sales become immaterial and Lyte exits the business.
  • The reconciliation of the $4.659 million backlog-plus-deferred-revenue figure in MD&A with the $4.688 million remaining-performance-obligations figure in the notes.
  • Progress remediating material weaknesses in financial reporting controls and maintaining Nasdaq listing compliance.
  • Final settlement and dismissal steps for the WSGR matters, and developments in the Wild Basin stockholder litigation.
  • Whether Phunware issues PhunCoin and completes the Token Ecosystem; the filing provides no assurance on timing or successful completion.
