Perpetual license revenue fell $80 million; recurring subscription and support revenue represented about 58% of total revenue, versus 52% in FY2014. IoT revenue reached $52.9 million, up from $5.2 million, and exceeded 10% of license and subscription revenue. Cash from operations fell 41%; operating cash flow less capital expenditures was approximately $149 million, compared with approximately $279 million in FY2014.
Changes, unusual items, and reporting update
- Revenue declines reflected fewer large license transactions, the transition toward subscriptions, weaker manufacturing conditions, and adverse foreign exchange. At constant currency, license and subscription revenue declined 4%, while support revenue grew 7%; professional services revenue declined 12%.
- GAAP operating income included a $66.3 million U.S. pension settlement loss, $43.4 million of restructuring charges, and a $28.2 million China investigation accrual, as well as $8.9 million of acquisition-related costs. The effective tax rate was negative 79%, including tax benefits from foreign tax-rate differences and pension-related valuation allowance changes.
- Year-end update: The 10-K added $14.6 million to the previously disclosed China matter accrual after the October 28, 2015 earnings release. Accordingly, reported GAAP operating income and net income for FY2015 and Q4 were each $14.6 million lower than initially reported, and EPS was $0.13 lower. The total accrual was $28.2 million.
- The U.S. pension plan termination was completed in Q4. PTC contributed $25.5 million to the plan and recognized the $66.3 million settlement loss.
- In April 2015, PTC restructured, recording $43.4 million in charges related primarily to 411 employee terminations; it reported approximately $30 million in annualized expense reductions. A further plan announced in October 2015 is expected to incur $40–$50 million of charges and cash expenditures, with approximately $17 million of net expense reductions expected in FY2016.
Liquidity, debt, and capital allocation
At September 30, 2015, debt was $668.1 million, comprising a $475 million term loan and $193.1 million revolving borrowings. PTC reported compliance with its then-current credit facility covenants. Approximately 72% of cash was held outside the United States. In November 2015, PTC replaced the facility with a $1 billion revolving commitment maturing September 2019; $718 million was outstanding on November 4. The facility contains leverage and fixed-charge covenants and limits certain transactions and distributions.
FY2015 investing cash outflow included approximately $98.4 million for ColdLight, acquired for $99 million, and $30.6 million of capital expenditures. PTC repurchased $64.9 million of stock during the year. Management’s FY2016 cash expectations included approximately $28 million to settle the China matter, $80 million of share repurchases, and $37 million of capital expenditures. PTC does not pay cash dividends.
Outlook, commentary, and risks
- FY2016 guidance called for revenue to decline 3%–5%. Management expected subscription revenue to grow about 35%, perpetual revenue to fall 8%–15%, support revenue to decline 2%, and professional services revenue to decline 12%.
- PTC had begun a second phase of its subscription program in October 2015 and targeted a significant majority of license and subscription bookings to be subscriptions by 2018. Management cautioned that subscriptions recognize revenue ratably and may reduce near-term revenue, margins, cash flow, and EPS compared with perpetual sales.
- Management identified continued uncertainty in global manufacturing, particularly in the Americas, China, and Japan, as well as foreign exchange volatility and dependence on large, lumpy transactions. It cited IoT and SLM as growth opportunities, while anticipating more modest growth in CAD and ePLM.
- PTC acquired Vuforia, an augmented reality platform, for $65 million in cash in November 2015. The acquisition accounting was not complete at filing.
- The SEC and DOJ investigation concerns expenditures in China that apparently benefited employees of state-owned enterprise customers and potential compliance issues, including under the FCPA. Settlement discussions had reached an agreement in principle, but final terms were not assured; costs could exceed the accrual or have business consequences.
- Other material risks include subscription-transition execution, acquisition integration and returns, competitive pressure, cybersecurity, foreign currency and interest-rate exposure, tax uncertainty, and compliance with debt covenants. PTC disclosed no material weakness in internal control over financial reporting; the independent auditor reported effective controls.
