Other income was $2.3 million for Q3 and $6.2 million for the nine-month period, primarily from investment income and sublease income. Operating margins are not meaningful because the company has no product revenue.

At September 30, 2023, cash and cash equivalents were $14.7 million and short-term U.S. Treasury investments were $118.3 million, totaling $133.0 million; restricted cash was an additional $1.5 million. Current assets were $139.1 million and current liabilities were $28.3 million. Total liabilities were $48.7 million, including operating lease liabilities; the filing reports no borrowings. Stockholders’ equity was $137.9 million.

For the first nine months, operating cash use was $55.5 million, investing cash use was $115.1 million, and financing cash provided was $6.0 million. Investing outflow primarily reflected purchases of Treasury securities, partly offset by redemptions and cash acquired with Apexigen; it should not be interpreted as operating burn. The company reported $28.6 million of remaining fixed lease payments net of sublease payments over the lease term.

Changes and material developments

  • Nine-month net loss improved by $26.4 million year over year, while operating expenses fell $21.1 million. Lower program-specific R&D spending, including prior-period manufacturing and licensing costs and spending on paused programs, drove much of the reduction; unallocated R&D costs increased with staffing and other operating costs.
  • Q3 R&D expense fell $4.3 million year over year, primarily due to lower PYX-201 manufacturing and paused-program costs, partly offset by clinical-trial and personnel costs. Q3 G&A rose $1.3 million, including higher personnel-related expense; acquisition-related costs were also recorded.
  • On August 23, Pyxis completed its Apexigen acquisition, issuing 4.34 million common shares. The provisional purchase price was $10.7 million, including $22.3 million of acquired in-process R&D intangible assets, subject to measurement-period adjustments. Apexigen’s post-acquisition results were not material to the reported periods.
  • Common shares outstanding increased from 35.0 million at December 31, 2022 to 44.3 million at September 30, 2023, reflecting, among other items, the acquisition issuance, equity compensation and ATM sales. The ATM generated $6.3 million gross proceeds in the first nine months.

Outlook, commentary and risks

  • As of September 30, management estimated existing cash, cash equivalents and short-term investments would fund operating and capital needs into early 2026, based on its then-current plan and assumptions.
  • On November 7, 2023, after quarter-end, Pyxis announced a reorganization to focus resources on PYX-201 and PYX-106. It plans to reduce its workforce by approximately 40% and pause funding for certain early-stage programs. Estimated severance-related costs are approximately $1.4 million, expected in Q4 2023. Following the reorganization, management expects existing resources to fund operations into early 2026.
  • Management expected preliminary PYX-201 Phase 1 data, including pharmacokinetic/pharmacodynamic data and early activity signals, in the first half of 2024. Fifteen subjects had been dosed as of the filing; the trial was escalating doses. PYX-106 preliminary data were expected in the second half of 2024 after the company narrowed its enrollment focus.
  • The filing describes substantial clinical, regulatory, manufacturing, financing, intellectual-property and competition risks. Both lead programs remain early-stage; clinical results may not predict later outcomes, and development may require more funding than expected. The company may need additional capital, which could dilute shareholders or require changes to programs.
  • Apexigen royalty proceeds of $7.2 million related to Beovu are recorded as deferred revenue because Novartis disputes its royalty obligation and the potential revenue is fully constrained. The company warns that it may not recognize the amounts and could be required to return cash received. It is exploring potential monetization of acquired royalty streams.
  • No material legal proceedings were reported. Disclosure controls and procedures were assessed as effective at a reasonable assurance level.
