Qorvo, Inc. annual report, FY2021

Qorvo, Inc. — Form 10-K Summary

Reporting period: Fiscal year ended April 3, 2021 (a 53-week year), compared with fiscal 2020 ended March 28, 2020. Although the request identifies “2020 Q4,” this filing reports annual results; it does not provide a clear standalone Q4 financial summary.

Business context

Qorvo designs and manufactures wireless and wired connectivity semiconductors. Its two reportable segments are Mobile Products (MP), serving cellular, UWB and Wi-Fi applications, and Infrastructure and Defense Products (IDP), serving infrastructure, defense, Wi-Fi, power management, automotive and IoT markets.

Financial performance

MetricFiscal 2021Fiscal 2020
Revenue$4.015 billion$3.239 billion
Gross profit / gross margin$1.884 billion / 46.9%$1.322 billion / 40.8%
Operating income / margin$906.6 million / 22.6%$423.2 million / 13.1%
Net income$733.6 million$334.3 million
Diluted EPS$6.32$2.80
Cash flow from operations$1.302 billion$945.6 million
Capital expenditures$187.0 million$164.1 million

Revenue grew 24.0%, led by demand for 5G mobile solutions, 5G base-station products and Wi-Fi products; lower Huawei shipments partly offset growth. MP revenue increased 19.1% to $2.857 billion, with segment operating margin rising to 35.3% from 29.8%. IDP revenue increased 37.7% to $1.158 billion, with segment operating margin rising to 24.5% from 17.3%.

At year-end, cash and cash equivalents were $1.398 billion and working capital was approximately $1.802 billion. Total debt carrying value was approximately $1.748 billion, including $1.550 billion of senior notes and a $197.5 million term loan; the $300 million revolving facility was undrawn. Cash was therefore below gross debt by approximately $350 million. The company reported compliance with credit-facility financial covenants.

Material changes and unusual items

  • Gross margin expanded 6.1 percentage points, primarily from higher volume, improved product mix, greater factory utilization and productivity, and lower inventory charges.
  • Operating income more than doubled, while R&D expense rose 17.7%, mainly from personnel and product-development spending.
  • Fiscal 2021 included a $62.0 million loss on debt extinguishment after redeeming the 5.50% notes due 2026 and remaining 7.00% notes due 2025. The company issued $700 million of 3.375% notes due 2031 and added $300 million to its 4.375% notes due 2029.
  • Other expense/income shifted to a $24.0 million expense in fiscal 2021 from $32.3 million of income in fiscal 2020; the prior year included a $43.0 million gain on remeasurement of the Cavendish investment.
  • The company repurchased 3.6 million shares for approximately $515.1 million. After year-end, it authorized a new repurchase program of up to $2.0 billion.
  • Fiscal 2021 acquisitions included 7Hugs for a total purchase price of $48.7 million. After year-end, Qorvo acquired NextInput for approximately $173.2 million.

Outlook, commentary and principal risks

The filing provides no quantified fiscal 2022 revenue or earnings guidance. Management described demand and technology transitions in 5G, Wi-Fi 6/6E, UWB, IoT and defense as opportunities, and said it believed cash, operating cash flow and available revolving credit were sufficient for short- and long-term needs. Management also said the duration and impact of COVID-19 remained uncertain. Fiscal 2021 operations and supply chain had not experienced material disruptions, but semiconductor supply constraints affected certain components and materials.

  • Customer concentration remains significant: Apple-related sales through contract manufacturers were 30% of fiscal 2021 revenue; Huawei was below 5%, down from 10% in fiscal 2020. Export controls and licensing may further affect China-related sales.
  • International sales were approximately 59% of revenue; China represented approximately 39% of revenue. Trade restrictions, geopolitical changes and supply-chain disruptions could affect sales or sourcing.
  • Product design wins, short product cycles, customer demand forecasting, inventory obsolescence, manufacturing yields and fixed-cost capacity utilization can materially affect results.
  • Debt service, refinancing, covenants and substantial contractual commitments remain relevant risks. Contractual obligations totaled approximately $2.937 billion, including $2.329 billion of long-term debt principal and interest payments over time.
  • Tax contingencies include $140.3 million of unrecognized tax benefits and accrued interest and penalties, though the timing and amount of settlement are uncertain. Legal proceedings were not expected by management to have a material adverse effect; the filing says the reasonably possible excess loss range was not material where estimable.

Most important facts for investors to verify

  • Whether 5G, Wi-Fi and IDP demand and the associated margin gains are sustainable, and how fiscal 2022 performance compares with subsequent company guidance.
  • Current customer concentration and exposure to Apple, China and Huawei-related export restrictions.
  • Debt maturities, refinancing capacity, covenant headroom, cash location and any constraints or tax costs related to repatriating foreign cash.
  • Inventory valuation and demand forecasts: inventory was $507.8 million, and inventory-reserve estimation was identified as the critical audit matter.
  • Execution and returns from acquisitions, capacity investments, and the announced $2.0 billion share-repurchase authorization.
