Liquidity and debt: At June 30, cash and cash equivalents were $259.2 million and restricted cash was $2.5 million. Total liabilities were $90.1 million. Hercules debt principal outstanding was $20.0 million; principal repayments were scheduled to begin in December 2018 and continue through May 2020. Management expected cash and cash equivalents to fund operations into 2021.

Margins: The filing does not present a meaningful gross-margin measure; revenue is primarily collaboration and license revenue, and no product sales were reported. Losses and operating cash outflows continued.

Material changes and notable items

  • Revenue declined 38% year over year in Q2 and 21% in the first half. The main driver was the 2017 termination of the Chiesi collaboration, which contributed $3.1 million of Q2 2017 revenue and $4.6 million of first-half 2017 revenue. BMS generated all collaboration and license revenue in 2018.
  • R&D expense rose 10% in Q2 and 5% in the first half, mainly from external costs preparing the AMT-061 pivotal study and conducting AMT-130 toxicology work. SG&A rose 9% in Q2 and 4% in the first half.
  • First-half net loss improved by $2.2 million, but operating loss widened by $1.4 million. The improvement in net loss reflected, among other items, a $2.4 million foreign-currency gain versus a $1.2 million loss in the comparable 2017 period.
  • Adoption of ASC 606 on January 1, 2018 increased first-half BMS license revenue relative to the former method and reduced deferred revenue while increasing equity by a cumulative $24.9 million. This was an accounting transition adjustment, not current-period cash proceeds. Revenue recognition depends on estimates of BMS target selections and the remaining service period.
  • The May follow-on offering of 5.175 million shares generated $147.5 million gross and $138.5 million net proceeds. Shares outstanding increased to 37.1 million at June 30 from 31.3 million at year-end.

Business developments, outlook and risks

  • uniQure enrolled the first patient in the AMT-061 Phase III pivotal hemophilia B study in June and initiated recruitment for a concurrent, approximately three-patient dose-confirmation study. The pivotal study was planned to enroll approximately 50 adults following a six-month baseline period.
  • For AMT-130, the six-month in-life portion of a non-human-primate safety and toxicology study was complete; final reports were expected in Q3 2018, with an FDA IND submission anticipated later in 2018. BMS had begun a preclinical study of AMT-126 in a diseased minipig model.
  • Management expected losses to increase as it advances AMT-061, prepares AMT-130 for clinical development, supports other research programs, and invests in manufacturing and platform capabilities. No specific revenue or earnings guidance was provided.
  • Funding needs depend on clinical progress, development costs, BMS decisions and milestone achievements. Management cautioned that additional financing might be needed and might not be available on acceptable terms; equity financing could dilute shareholders.
  • Key risks include clinical and regulatory failure or delay, manufacturing scale-up and compliance, uncertainty in gene-therapy safety and durability, dependence on BMS for collaboration revenue and potential milestones, intellectual-property challenges, reimbursement and pricing uncertainty, and foreign-exchange fluctuations. The filing reported three serious adverse events associated with AMT-060 treatment, including one short-lived fever and two mild, asymptomatic liver-enzyme elevations.
  • Long-term lease obligations totaled approximately $38.6 million. The company also disclosed contingent consideration tied to InoCard milestones, with uncertain timing. No legal proceedings were reported. Management concluded disclosure controls were effective as of June 30, 2018.

Investor verification points

  1. Track AMT-061 dose-confirmation results, pivotal-trial enrollment, safety and efficacy, and regulatory feedback on manufacturing comparability.
  2. Review the assumptions underlying ASC 606 BMS license revenue recognition and whether BMS selects additional targets or achieves milestones.
  3. Assess whether cash runway into 2021 remains reasonable against rising R&D spending, operating cash burn, and debt repayments.
  4. Monitor revenue concentration in BMS following the Chiesi termination, and the possibility of future financing and shareholder dilution.
  5. Evaluate progress on AMT-130 IND-enabling work and the final non-human-primate toxicology reports, as well as manufacturing and regulatory risks.
