Material changes and operating developments

  • In June, RadNet sold 8,711,250 shares at $29.75 per share, generating $246.2 million net proceeds, intended for working capital and general corporate purposes. Shares outstanding increased from 57.7 million at December 31, 2022 to 67.7 million at June 30, 2023.
  • Cost of operations rose 12.3% in the first half, below revenue growth; the cost ratio improved to 87.8% of revenue from 89.2%. Higher staffing, medical supplies and other operating costs reflected increased volumes, inflation and infrastructure needs. Medical supply expense rose 41.4% in the first half, including greater use and higher prices for contrast agents and PYLARIFY.
  • First-half capital expenditures increased to $95.4 million from $72.7 million. The company acquired imaging assets for $10.2 million in the first half and added a net 10 centers. A further center acquisition for approximately $0.6 million closed August 1, after the reporting period.
  • AI revenue more than doubled in the first half to $4.5 million, but the segment recorded a $14.9 million net loss, compared with $9.5 million. AI operating loss was $14.7 million. RadNet expects AI to continue generating losses in the near term while it commercializes products.

Outlook, risks and unusual items

  • No specific numeric financial guidance is provided in the supplied filing text. Management expects higher effective rates and related interest expense to continue near term. At June 30, a hypothetical 1% rate increase was estimated to add approximately $2.1 million annual interest expense on First Lien Term Loans and $1.5 million on the Truist Term Loan.
  • Interest-rate swaps have $500 million total notional value, with maturities in October 2023 and October 2025. RadNet received approximately $6.7 million in swap cash payments during Q2. A noncash fair-value gain on the swaps was $4.2 million in Q2 2023, compared with $6.3 million in Q2 2022; first-half gains were only $0.1 million, compared with $27.1 million in the prior-year period.
  • Other risks noted include the capital-intensive business model, reliance on debt and covenant compliance, reimbursement and collection estimates, inflation and staffing costs, acquisition integration, AI commercialization, and foreign-currency exposure. The filing estimates a 1% decline in relevant foreign exchange rates would increase annual operating expenses by approximately $0.3 million.
  • Acquisition-related contingent consideration included $7.2 million for Aidence milestones, $5.3 million for Quantib share holdback and $14.4 million for Heart and Lung Imaging milestones. A $1.2 million Montclair contingent-consideration liability was settled with a gain in Q2. The Quantib share holdback was settled July 7, 2023, after quarter-end.
  • Management stated that pending legal matters were not expected to have a material adverse effect based on information available, while acknowledging outcomes are uncertain. The filing reported effective disclosure controls and no material change in internal control over financial reporting.
