Balance sheet, liquidity and capital allocation

  • Cash and cash equivalents were $116.8 million at year-end, including $50.4 million held internationally.
  • No borrowings were outstanding under the $175.0 million senior secured revolving facility; $174.2 million remained available, subject to its terms and covenants. The facility matures November 2026.
  • Operating cash flow increased to $81.6 million, including a $35.5 million U.S. federal tax refund with interest. The refund materially contributed to the year-over-year cash-flow improvement.
  • Cash used in financing activities was $71.9 million, including $18.8 million of dividends and $15.2 million of share repurchases. The company declared dividends of $0.14 per share each quarter.
  • Accounts receivable, net, was $137.4 million versus $153.2 million; the allowance for doubtful accounts increased to $3.3 million from $2.1 million.

Material changes, outlook and risks

  • Management reported strong demand and backlog early in the year, followed by softer client spending, longer sales cycles and delayed engagement starts in the second half amid macroeconomic uncertainty.
  • RGP’s Strategic Client Accounts grew 2.7% in North America. Finance and Accounting revenue grew 3.2%, and Technology and Digital grew 11.8% despite the softer environment.
  • The company recorded a $3.0 million non-cash goodwill impairment for Sitrick after weaker business performance associated with continued effects of U.S. court-system disruption. No goodwill remained in Other Segments at year-end.
  • Technology transformation investment was estimated at $30–$33 million over multiple years. FY2023 included $6.0 million capitalized and $6.5 million expensed; most remaining planned investment was expected in FY2024. Management expected the North America ERP and talent-system deployment to go live in FY2024.
  • Management identified expansion of HUGO, its digital engagement platform, into additional U.S. markets in FY2024 as a plan, not quantified financial guidance. The filing provides no clear numerical revenue or earnings forecast.
  • Key risks include economic weakness and discretionary project delays, competition for consultants, wage and benefit cost inflation, client termination of engagements, pricing and pay/bill ratio pressure, technology implementation risk, cybersecurity and privacy exposure, foreign currency movements, and variable-rate borrowing costs. The company reported no material legal proceedings and stated it complied with credit-facility financial covenants.
  • The company said current cash, operating cash flows and available credit should meet working capital and capital expenditure needs for at least the next 12 months. This is management’s assessment, not a guarantee.
