RMR GROUP INC. annual report, FY2023

Business context and reporting period

The RMR Group Inc. is a real estate management and advisory company; substantially all operations are conducted through majority-owned RMR LLC. This Form 10-K covers the fiscal year ended September 30, 2023, not a standalone calendar fourth quarter. RMR managed more than 2,000 properties and reported $35.9 billion of assets under management. Its clients include four public equity REITs, mortgage REIT Seven Hills Realty Trust (SEVN), and private capital clients.

Total revenue includes $726.2 million of reimbursable costs, which are also recorded as expenses; therefore, the reported total-revenue operating margin is not a useful stand-alone measure of underlying fee economics. Operating income was 11.8% of total revenue. The filing does not provide a directly comparable margin for core fee revenue.

RMR reported no debt outstanding and no credit facilities. Current assets were $386.3 million versus current liabilities of $105.6 million. The regular quarterly dividend was $0.40 per share, or $1.60 annually; cash distributions to shareholders and the other RMR LLC owner totaled $45.8 million in FY2023. Operating cash flow exceeded these distributions.

Material changes versus the prior year

  • Management services revenue declined 5.0% to $185.7 million. Lower base fees from DHC, OPI and SVC, and the loss of TA fees after its May 2023 acquisition, outweighed growth at ILPT and higher construction-supervision fees.
  • FY2023 management and advisory services revenue included a $45.3 million termination fee from TA and a $0.7 million SEVN incentive fee. Excluding those items, management and advisory services revenue was approximately $190.2 million, below FY2022’s $200.0 million.
  • Higher interest income ($10.6 million versus $1.3 million) and gains on equity-method investments measured at fair value ($25.2 million versus $1.0 million) contributed to the increase in income. Results also included $4.2 million of transaction and acquisition costs, principally related to CARROLL.
  • Other reimbursable expenses increased $87.6 million; these pass-through costs were offset by corresponding expense. Cash from operations rose despite unfavorable working-capital changes, while investing cash flow benefited from the $53.5 million proceeds from selling TA shares.

Outlook, risks and unusual items

No quantitative earnings or revenue guidance is provided. Management expects to use cash, future operating cash flow and potentially equity or debt to support growth, with a stated focus on private capital. The pending CARROLL acquisition would add a Sun Belt multifamily platform: agreed consideration is $80 million in cash, subject to adjustments, plus up to $20 million of contingent consideration. The filing says it is expected to be funded with cash on hand; closing remained subject to customary conditions, including consents and a minimum property-management revenue condition.

Management cites higher interest rates, inflation and labor costs, weaker commercial real estate transaction activity, tighter lending, and possible recession as pressures on clients and fee revenue. Fees depend on client asset values, market capitalization, rents, capital projects and performance; RMR also identifies client concentration and possible management-agreement termination as significant risks. Managed Equity REITs generated 73.2% of management and advisory services revenue excluding termination-fee revenue. The filing also highlights related-party and governance risks: Adam Portnoy controlled 91.2% of voting power and held a 51.1% economic interest in RMR LLC.

Other notable disclosures: TA’s acquisition ended its management agreement and generated the termination fee; ABP Trust’s acquisition of AlerisLife led RMR to waive a termination fee in exchange for an amended management arrangement; and the proposed DHC–OPI merger was terminated, leaving their existing management agreements in place. RMR’s $23.2 million tax receivable agreement liability includes $2.3 million expected to be paid in FY2024. Management and Deloitte reported effective disclosure controls and internal control over financial reporting; the financial statement audit opinion was unqualified. Deloitte identified related-party identification and transactions as a critical audit matter. No litigation expected to have a material adverse effect was disclosed.

Investor verification priorities

  • Confirm whether CARROLL closed, the final cash consideration and any earnout exposure, and whether integration and expected growth are progressing as planned.
  • Track fee revenue excluding termination and incentive fees, and the effects of client market capitalization and asset performance on recurring fees.
  • Review client concentration and management-agreement renewal, performance and termination provisions, including the relevant DHC and ILPT performance tests.
  • Assess the sustainability of the $0.40 quarterly dividend against operating cash flow, tax distributions and other capital needs.
  • Examine related-party arrangements, voting control, the tax receivable agreement and potential conflicts of interest.
  • Monitor cash concentration at banks, given that some balances exceed FDIC insurance limits, and evaluate exposure to client-sector and interest-rate risks.
