Roivant Sciences Ltd. annual report, FY2022

Roivant Sciences Ltd. — FY2023 Form 10-K

Reporting period: Fiscal year ended March 31, 2023; comparisons are with the year ended March 31, 2022. Although the request metadata refers to 2021 Q4, the supplied filing is Roivant’s FY2023 annual report, filed June 28, 2023.

Business context and reporting period

Roivant is a commercial-stage biopharmaceutical company that develops medicines through subsidiaries (“Vants”). Its portfolio includes VTAMA (tapinarof), approved in the U.S. for adult plaque psoriasis; clinical programs in inflammation and immunology; and discovery and health-technology businesses. The company reports one operating and reporting segment and consolidates controlled subsidiaries.

Roivant launched VTAMA in May 2022, its first commercial product. At March 31, 2023, it held 100% of Dermavant’s common shares (85% fully diluted), 57% of Immunovant’s common shares (51% fully diluted), and 75% of Telavant’s common shares. The audited financial statements received an unqualified opinion from Ernst & Young LLP.

Financial results and liquidity

MetricFY2023FY2022
Revenue, net$61.3 million$55.3 million
VTAMA product revenue, net$28.0 millionNone
License, milestone and other revenue$33.3 million$55.3 million
Loss from continuing operations, net of tax$1.230 billion$924.1 million
Net loss attributable to Roivant$1.009 billion$845.3 million
Net cash used in operating activities$843.4 million$677.7 million
Cash, cash equivalents and restricted cash at year-end$1.692 billion$2.074 billion

Costs and margins: Cost of revenues was $13.1 million, including $7.5 million of amortization tied to VTAMA approval and sales milestones. Operating expenses totaled $1.237 billion, including $525.2 million of R&D, $600.5 million of SG&A and $97.7 million of acquired in-process R&D. Roivant reported an operating loss of $1.175 billion. A consolidated gross margin is not a useful product-level measure given the mix of product, licensing and service revenues; the filing does not provide a clear product gross margin.

Debt and liquidity: Balance-sheet long-term debt, including current maturities, was approximately $416.2 million, versus $210.0 million at March 31, 2022. Components include the Dermavant NovaQuest obligation, a $40 million secured credit facility, and the VTAMA revenue-interest financing. The company reported $1.677 billion of cash and cash equivalents and $1.799 billion of current assets against $272.4 million of current liabilities. Management estimated cash and cash equivalents would support operations into the second half of calendar 2025, while noting that estimate depends on assumptions; the financial-statement note states existing cash should cover committed operating expenses and capital needs for at least 12 months from issuance.

Material changes versus the prior year

  • Revenue rose $6.0 million as VTAMA contributed $28.0 million of first-year product sales, partly offset by a $22.0 million decline in license, milestone and other revenue.
  • Loss attributable to Roivant widened $163.8 million. Continuing-operations loss increased, while FY2022 included significant non-recurring gains, including a $443.8 million Datavant investment-sale gain and a $66.5 million gain on termination of Sumitomo options.
  • Operating cash use increased $165.7 million, reflecting clinical-program advancement and the VTAMA launch. Financing activities provided $499.5 million, including equity issuance and Dermavant’s $160 million revenue-interest funding.
  • Cash and cash equivalents declined $383.6 million. Debt and liability fair-value remeasurement generated a $78.0 million loss in FY2023, including a $59.6 million loss associated with NovaQuest debt.
  • FY2023 included $114.6 million of income from discontinued operations related to Myovant shares received and sold in connection with Sumitovant’s acquisition of Myovant; this was not recurring operating revenue.

Outlook, management commentary and key risks

  • VTAMA: Management reported $13.7 million of fourth-quarter and $28.0 million of full-year net product revenue. By June 2023, coverage reached 125 million U.S. commercial lives, or 76% of the total. Phase 3 atopic dermatitis trials met primary and secondary endpoints; Roivant expected to file a supplemental application in the first quarter of calendar 2024. Launch investment and reimbursement access remain important execution factors.
  • Pipeline catalysts: The filing outlines expected data and development milestones for IMVT-1402, batoclimab, brepocitinib, RVT-2001, RVT-3101 and namilumab. These are management expectations, may change, and are subject to clinical and regulatory uncertainty. Roivant also stated its intention to in-license multiple potentially category-leading drugs per year.
  • Clinical and safety risks: Batoclimab dosing was voluntarily paused in early 2021 after elevated total cholesterol and LDL were observed in some subjects; development resumed after review and regulatory discussions. Past TED Phase 2b results did not meet the primary endpoint. Earlier or interim trial results may not predict pivotal-trial outcomes.
  • Capital and commercialization: Roivant has a limited commercial track record, has incurred substantial losses, expects further losses and may need additional financing. Its cash-runway estimate is assumption-dependent. VTAMA’s performance, spending needs, future financing terms and dilution are key uncertainties.
  • Legal matters: The filing describes an Immunovant securities action, the Acuitas declaratory-judgment action and Genevant/Arbutus patent litigation involving Moderna and Pfizer/BioNTech vaccine-related patents. Roivant said it could not reasonably estimate possible losses for the Immunovant securities case and recorded no liability for it.
  • Other risks: Dependence on third-party manufacturers, patent challenges and licensing obligations, competition, pricing and reimbursement pressure, and the decentralized Vant structure may affect results. Roivant disclosed that management concluded disclosure controls and internal control over financial reporting were effective at year-end; the auditor was not engaged to attest to internal-control effectiveness.

Investor verification checklist

  • Check subsequent VTAMA prescription, net-sales, gross-to-net reserve and payer-coverage trends against launch expectations.
  • Review the timing, terms and cash-flow impact of NovaQuest, RIPSA and other debt or revenue-interest obligations, including milestone and royalty commitments.
  • Track actual clinical results and regulatory progress against the stated pipeline catalysts, especially batoclimab safety and pivotal outcomes, IMVT-1402 human data, and VTAMA’s atopic-dermatitis filing.
  • Assess the assumptions behind the projected cash runway, planned R&D and commercialization spending, and potential need for additional capital or dilution.
  • Monitor the cited litigation, patent-protection status and the impact of subsidiary ownership and future Vant financing on Roivant’s economic interests.
