Roper Technologies, Inc. — FY 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. The filing is an annual report, not a standalone Q4 filing; quarterly Q4 figures are included below. Unless stated otherwise, amounts are in millions of dollars.
Business context
Roper is a diversified technology company focused on vertical software and technology-enabled products in niche markets. Its three continuing-operations segments are Application Software, Network Software, and Technology Enabled Products. Following the 2021 divestitures and 2022 Indicor transaction, the company says its portfolio has a higher recurring-revenue mix and is less cyclical and asset-intensive. Prior-period comparisons below reflect discontinued-operations presentation.

| Operating cash flow from continuing operations | $2,037.4 | $606.6 | Increase primarily reflected lower cash taxes than in 2022 and higher continuing-operations earnings. |
Segment revenue and operating margin: Application Software revenue was $3,186.9, up 20.7% (5.9% organically), with a 25.8% operating margin versus 27.1%. Network Software revenue was $1,439.4, up 4.4% (4.6% organically), with a 43.9% margin versus 41.4%. Technology Enabled Products revenue was $1,551.5, up 14.6% (14.7% organically), with a 33.4% margin versus 33.2%.
Q4 2023: Revenue was $1,613.5 versus $1,430.9 in Q4 2022; continuing-operations net earnings were $377.5 versus $247.3; diluted continuing-operations EPS was $3.50 versus $2.32.
Cash, debt, and liquidity
- Cash and cash equivalents were $214.3 at year-end, down from $792.8.
- Gross debt was $6,360.2 at year-end, compared with $6,700.3 a year earlier; debt net of deferred financing costs was $6,330.1. Debt was 26.7% of total capital, versus 29.5%.
- The $3,500 revolving credit facility had $360 outstanding. The filing reports approximately $3,133 of undrawn availability; Roper was in compliance with its debt covenants.
- Continuing-operations investing cash use was $2,128.3, principally for acquisitions. Financing cash use was $499.5, including $700 of senior-note repayments and dividends, partly offset by $360 of net revolver borrowings.
- Remaining performance obligations were $4,612.6, up from $4,214.0; backlog expected to be recognized within 12 months was $3,156.6, up 8.4%.
Material changes, outlook, and risks
- Four 2023 acquisitions included Syntellis, acquired for approximately $1,381, and Replicon, acquired for approximately $447.5. In January 2024, Roper agreed to acquire Procare for approximately $1,860; closing was expected in Q1 2024, subject to customary conditions.
- FY 2023 included $165.4 of net equity-investment activity, principally a $140.9 fair-value increase and $32.5 of distributions from Indicor, partly offset by a $5.2 share of Certinia losses. The Indicor valuation is a Level 3 estimate subject to significant judgment.
- Management expects a 2024 effective tax rate of approximately 21%–22% and aggregate capital expenditures and capitalized software spending of 1.0%–1.5% of annual revenue. It expects positive operating cash flow and debt reduction, but says the pace depends on acquisitions, operating performance, and financial-market conditions.
- Goodwill was $17,118.8, or 61% of total assets. The 2023 qualitative impairment assessment found no impairment likely, but management identifies assumptions about growth, margins, and discount rates as sensitive estimates.
- PowerPlan faces an antitrust and related lawsuit seeking approximately $66 in damages, plus treble and other damages; a trial was anticipated in the second half of 2024 if summary judgment did not resolve the matter. Management stated it had made adequate provisions for contingencies and identified no matters with a reasonable possibility of material loss overall.
- Key disclosed risks include acquisition integration and indebtedness, cybersecurity and third-party cloud outages, privacy regulation, competition, interest and foreign-exchange exposure, supply constraints, litigation, and geopolitical disruption. Management reported no cybersecurity incident materially affecting or reasonably likely to materially affect the company to date.
Important facts for investors to verify
- Separate organic growth from acquisition-driven growth, particularly in Application Software, and assess whether acquired businesses meet expected growth and margin targets.
- Track cash conversion and debt reduction after acquisition spending, upcoming debt maturities, and completion and financing of the Procare transaction.
- Review the assumptions supporting Indicor’s Level 3 valuation and the recurring nature of the resulting investment gains.
- Monitor the PowerPlan litigation, integration and restructuring costs, and goodwill and intangible-asset estimates.
- Compare reported earnings with continuing-operations results: FY 2022 total earnings were materially lifted by divestiture gains. PwC issued an unqualified opinion on the financial statements and internal controls; management also concluded internal controls were effective.
