Margins: Gross margin is not applicable to the reported results because the company had no revenue. Interest and other income was $1.3 million for the quarter and $2.7 million for six months, helping offset operating losses. No income tax benefit was recorded.

Balance sheet at Dec. 31, 2023: Cash and cash equivalents were $12.5 million; marketable debt securities totaled $83.4 million ($80.1 million short-term, $3.4 million long-term); working capital was approximately $88.1 million; total assets were $102.2 million; total liabilities were $10.4 million; and shareholders’ equity was $91.7 million. The filing reports no outstanding borrowings under the former loan agreement, which was repaid in 2022. Liabilities include $2.5 million of operating lease obligations and a $0.4 million embedded derivative liability.

Cash flows: Six-month investing activities provided $20.4 million, principally from security maturities net of reinvestments. Financing activities used $0.3 million for offering costs; no ATM shares had been sold by period-end. Cash declined by $3.5 million to $12.5 million, while much of the company’s liquidity was held in marketable securities.

Changes versus the prior comparable periods

  • Six-month net loss increased $5.0 million year over year, and operating cash use increased $8.5 million.
  • Six-month R&D expense rose 30% to $24.3 million, mainly from RZ358 Phase 3 readiness, manufacturing and preclinical costs, RZ402 clinical activity, and increased R&D staffing. Quarterly R&D expense rose 10%.
  • Six-month G&A expense rose 15% to $6.9 million, reflecting higher professional fees, IT and other support costs, and staffing. Quarterly G&A decreased 8%, primarily due to lower performance bonus expense.
  • Higher investment yields contributed to increased interest income. The company reported a $0.3 million six-month unrealized gain on available-for-sale securities in other comprehensive income.
  • Common shares outstanding were 39.625 million at Dec. 31, versus 36.827 million at June 30, after a cashless exercise of approximately 2.8 million pre-funded warrants. The exercise generated no cash proceeds. Weighted-average shares used for loss per share were approximately 51.4 million, including pre-funded warrants.

Outlook, programs, and material risks

  • RZ358 for congenital hyperinsulinism: The company initiated the global Phase 3 sunRIZE study in December 2023. It plans to enroll approximately 56 participants at up to approximately 20 sites in more than 15 countries, complete enrollment by calendar year-end 2024, and report topline results in mid-2025. The study is not currently enrolling in the U.S. because FDA partial clinical holds restrict dosing participants under 12 and dosing above 3 mg/kg. Rezolute is engaging with FDA but cannot assure the holds will be lifted or that U.S. sites can be included.
  • RZ402 for diabetic macular edema: The Phase 2 study has completed enrollment of 94 participants and remains ongoing. Management expected topline results in the second quarter of calendar 2024.
  • RZ358 for tumor-associated hyperinsulinism: Management described favorable results in several compassionate-use cases and reported FDA alignment that RZ358 could next be studied in an IND-opening late-stage trial. The company is evaluating this opportunity but says it is not resourced to support an additional registrational study; no development commitment or approval is assured.
  • Funding outlook: Management stated that cash and investments were expected to fund contractual obligations and planned clinical activities at least through the third quarter of calendar 2025. The liquidity note separately says resources would be adequate through February 2025, at a minimum. These are management estimates, not guarantees. A $50 million Jefferies at-the-market facility was available, but no shares had been sold as of Dec. 31; even full use would not cover all long-term requirements, and additional financing may be needed.
  • Contractual milestones: Two $5 million payments to XOMA are tied to first- and last-patient dosing in the RZ358 Phase 3 study and were expected within the following 12 months, subject to timing uncertainty. Additional clinical and regulatory milestones may be payable under the XOMA and ActiveSite licenses.
  • Listing risk: Nasdaq notified the company in November 2023 that its bid price was below the $1 minimum. The compliance period ran through May 20, 2024; failure to regain compliance could lead to delisting and impair access to capital markets.
  • Other risks and contingencies: The company has no meaningful revenue, an accumulated deficit of $289.4 million, and expects continued operating losses. Clinical and regulatory outcomes, financing availability, investment credit and interest-rate risks, and future milestone obligations remain material. The filing reported no pending or threatened litigation expected to have a material effect and no off-balance-sheet arrangements.

Most important facts for investors to verify

  • Whether the FDA partial holds on RZ358 were lifted or changed, and the study’s enrollment progress, safety data, and expected timing.
  • RZ402 Phase 2 topline results and whether they support further development.
  • Actual cash burn, investment maturities, and updated runway assumptions, including the difference between the February 2025 and third-quarter 2025 estimates.
  • Whether the company uses the ATM facility or obtains other financing, and the resulting dilution and capital runway.
  • Timing and funding of the potential $10 million RZ358 Phase 3 XOMA milestones, as well as other license obligations.
  • Nasdaq bid-price compliance and the potential consequences for listing and financing access.
  • Potential common-share dilution from outstanding pre-funded warrants and stock options.
