SAB Biotherapeutics, Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; filed March 28, 2024. This is an annual report, not a standalone fourth-quarter report. SAB is a clinical-stage biopharmaceutical company developing human polyclonal antibodies using its DiversitAb platform. It has no products approved for sale; revenue was primarily government grant funding.

Key financial metrics

Metric20232022
Revenue$2.2 million$23.9 million
Research and development expense$16.5 million$36.4 million
General and administrative expense$23.8 million$16.4 million
Operating loss$38.1 million$28.9 million

Cash and cash equivalents at year-end$56.6 million$15.0 million

At December 31, 2023, total assets were $83.9 million, total liabilities $26.6 million, and stockholders’ equity $57.3 million. Notes payable were $1.05 million; lease liabilities were $4.86 million in total ($1.31 million operating and $3.55 million finance). The company reported no income-tax expense for 2023 and an accumulated deficit of $90.1 million. Gross margin is not a meaningful reported measure given the grant-revenue model and no commercial product sales.

Changes versus 2022

  • Revenue declined 90.6%, mainly following termination of the Department of Defense JPEO Rapid Response contract; 2023 revenue largely reflected residual closeout work.
  • R&D expense fell 54.7%, primarily with reduced grant-related laboratory, manufacturing, staffing, and outside-laboratory costs. G&A expense rose 45.3%, including higher administrative support and personnel costs.
  • Net loss more than doubled despite lower operating expenses. The year included a $4.8 million loss from changes in warrant fair value, versus a $10.4 million gain in 2022, as well as lower grant revenue.
  • Operating cash use increased by $1.7 million. Financing provided $66.8 million of cash, principally from the 2023 preferred-stock-and-warrant financing and warrant exercises.

Liquidity, financing and outlook

Management stated that available resources were expected to cover operating cash needs for the twelve months following issuance of the financial statements, while also warning that additional capital will be required to support long-term plans. The company expects continued losses and substantial development spending and may seek equity, debt, collaboration, or other financing; financing may not be available on acceptable terms. Failure to obtain capital could require reductions or discontinuation of programs or operations.

The September 2023 private placement provided approximately $67.1 million in proceeds through November, within a transaction structured for up to $110 million across tranches. As of December 31, $11.8 million of warrant liabilities were recorded; warrant remeasurement can materially affect reported earnings without corresponding operating cash flow. A January 2024 sales agreement permits up to $20 million of at-the-market common-stock sales; none had been sold under it as of the filing date. The filing also describes substantial potential dilution from convertible preferred stock and warrants. A 1-for-10 reverse stock split became effective January 5, 2024; share and per-share figures are adjusted accordingly.

Pipeline, management commentary and principal risks

  • SAB-142: A Phase 1 single-ascending-dose study began dosing healthy volunteers in November 2023. Management anticipated topline results by year-end 2024 and planned further regulatory filings and Phase 2 development. These are forward-looking expectations; clinical safety, activity, and timing remain uncertain.
  • SAB-176: The company reported that its 60-person Phase 2a influenza challenge study met its primary viral-load endpoint (one-sided p=0.026) and a symptom endpoint in a subgroup. FDA Fast Track and Breakthrough Therapy designations were received in May 2023. These designations do not establish efficacy or guarantee approval.
  • The company relies on grants, outside clinical-trial providers, and a novel animal-based manufacturing platform. Risks include trial failure or delay, regulatory approval of both the antibody product and genetically modified donor animals, manufacturing scale-up, animal health, and future funding needs.
  • The JPEO contract was terminated in 2022. The filing identifies deferred grant income potentially payable to the DoD depending on later vendor negotiations, while management states it believes there is a reasonable basis that no present or future obligations exist.
  • Management concluded that internal control over financial reporting and disclosure controls were ineffective at year-end because formal financial-reporting processes and procedures were inadequately documented. The independent auditor audited the financial statements but was not engaged to audit internal-control effectiveness. Management described remediation work, including an external risk assessment and a planned contract-management platform.
  • The 2023 financial statements received an unqualified audit opinion. The prior auditor’s report on 2022 included a going-concern uncertainty paragraph; management’s current liquidity statement is based on its stated expense level and available resources.

Important facts for investors to verify

  • Actual SAB-142 Phase 1 results, subsequent trial progress, regulatory filings, and whether announced timelines are met.
  • Cash runway against operating cash use, remaining financing availability, and the terms and exercise/conversion effects of outstanding preferred securities and warrants.
  • Progress in remediating the material weakness and whether financial-reporting controls become effective.
  • Final resolution of any DoD-related deferred obligations and the status of the Research Center lease, which the filing says expires in August 2024.
  • Whether SAB-176’s clinical findings are replicated in further studies and translate into a viable development and regulatory path.
