Reported profit chiefly reflects recognition of GSK license revenue and is not indicative of recurring product-sales profitability. Product revenue declined 64.6% in Q2 and 20.5% for the six-month period versus the prior-year comparables. Lower commercial promotion costs drove the SG&A decrease; R&D increased 6.9% for the half year, mainly reflecting clinical development and personnel costs. No separate operating-margin guidance is provided.
- Cash and liquidity: Cash, cash equivalents, and investments totaled $91.9 million at June 30, 2023, versus $73.5 million at December 31, 2022. Cash, cash equivalents, and restricted cash were $58.5 million.
- Cash flow, six months: Operating activities provided $55.5 million, investing activities used $6.4 million, and financing activities used $36.6 million. Operating cash flow includes the GSK transaction and is affected by $44.2 million in license-related receivable and contract-asset increases.
- Debt and liabilities: SCYNEXIS repaid its Hercules/SVB loan in May using GSK proceeds, paying approximately $37.0 million including fees. The March 2019 convertible notes mature in 2025; the balance sheet reports $11.6 million for convertible debt and its associated derivative liability. Warrant liabilities were $32.1 million.
- Balance sheet: Total assets were $154.9 million, total liabilities $61.8 million, and stockholders’ equity $93.1 million. Inventory rose to $10.3 million from $0.9 million current inventory at year-end; the filing attributes the increase to raw-material purchases.
Material changes and unusual items
- The GSK agreement provided a $90 million upfront payment and potential future development, regulatory, commercial, and sales milestones, plus royalties. SCYNEXIS reported a $25 million earned development milestone and a $19.2 million contract asset at quarter-end. The filing states a $136.1 million transaction price, including $45 million of success-based development milestones; most other potential milestones were constrained from recognition at June 30.
- Of the $136.1 million transaction price, $130.1 million was allocated to the license and recognized when the license and initial technology transfer were completed. The agreement also includes continuing study obligations; $4.4 million of current and long-term deferred revenue was expected to be recognized by the end of 2024.
- Six-month results included a $13.5 million loss from the change in fair value of warrant liabilities, compared with a $19.7 million gain in the prior-year period. Q2 included an $8.2 million gain. These noncash valuation changes make reported earnings volatile.
- SCYNEXIS recognized $2.3 million of debt issuance-cost and discount amortization for the half year, including accelerated amortization associated with repayment of the loan. 2022 six-month results included a $4.7 million income tax benefit; 2023 did not.
- Three wholesalers accounted for 46%, 26%, and 25% of gross product revenue, respectively, for the six months ended June 30, 2023.
Outlook, risks, and contingencies
- Management expects net income for 2023, reflecting GSK agreement amounts. It also expects continued significant R&D spending and lower SG&A after ceasing active BREXAFEMME promotion. Management states current capital resources are expected to fund operations for at least 12 months after issuance of the financial statements, while also anticipating that substantial additional funding may be needed for ongoing operations.
- Management reported continued enrollment in the Phase 3 MARIO study for invasive candidiasis and expects topline results in the second half of 2024. SCYNEXIS says target enrollment was reached in the FURI and CARES studies and anticipates topline data in the first half of 2024. It expects to open an IND for preclinical-stage SCY-247 in the second half of 2024.
- Future liquidity depends on development progress, regulatory and commercial milestones under the GSK agreement, and access to additional financing or partnerships. Equity or convertible-debt financing could dilute shareholders; licensing or collaboration arrangements could require surrendering valuable rights.
- GSK may terminate the agreement for convenience, and milestone and royalty receipts depend on development, approvals, and sales. The company also identifies clinical, regulatory, funding, and other operating uncertainties. It reported effective disclosure controls as of June 30, 2023.
Key facts for investors to verify
- How much of the GSK transaction price and milestone consideration is collected in cash, and when remaining receivables and contract assets are expected to convert to cash.
- Whether GSK development milestones and the stated clinical timelines are achieved, and how any changes affect SCYNEXIS’s costs and liquidity.
- The pace of BREXAFEMME sales after the transfer of commercialization rights and the impact of reduced promotion, including product-revenue concentration among wholesalers.
- The potential effect of warrant remeasurement and the substantial share overhang: 39.1 million common shares were reserved for future issuance at June 30, 2023. Verify potential dilution and the terms of outstanding warrants and convertible notes.
- Management’s stated 12-month liquidity expectation against its warning that additional capital may be required; assess cash use and financing needs in subsequent filings.
