- Revenue increased 37%, mainly from reimbursement of costs for a HyBryte investigator-initiated study. Gross profit fell 68% as revenue carried lower contract margins and Q1 2022 included higher-margin licensing revenue.
- Operating expenses declined 49%. R&D was lower mainly because of reduced Oral Mucositis Phase 3 and HyBryte NDA-related costs; G&A fell mainly because of lower legal and consulting costs related to the Emergent arbitration.
- Net loss improved 76%, also reflecting a $1.16 million income tax benefit from the sale of 2021 New Jersey net operating loss carryforwards. The benefit is not operating revenue.
- Cash and cash equivalents were $10.27 million at March 31, down $3.09 million from year-end. Working capital deficit was $0.65 million, compared with $2.66 million at December 31, 2022.
- Quarter-end convertible debt was $9.0 million in principal, presented as $6.0 million current and $2.91 million non-current net of debt discount. The company repaid $1.0 million principal during Q1. Debt is secured by substantially all assets other than intellectual property and bears 8.47% interest.
Material changes, outlook, and risks
- HyBryte regulatory setback: The FDA refused to file the NDA in February 2023 and, following an April Type A meeting, required positive results from a second clinical study in addition to the completed Phase 3 FLASH study. Soligenix sought a follow-on Type A meeting to discuss the study protocol; feedback was expected by or before the end of June 2023. The company is also evaluating a European approval path.
- Funding after quarter-end: On April 19, 2023, the Pontifax loan was amended, requiring $5 million of principal repayment and leaving $3 million outstanding. After the company raised at least $10 million in gross proceeds by year-end 2023, the interest-only period was extended through June 30, 2024 and the minimum cash requirement was eliminated. Conversion terms were also revised, creating potential dilution.
- From April 1 through May 9, Soligenix sold 829,935 shares under its at-the-market agreement for $3.02 million gross. Its May 9 public offering of common shares or equivalents and warrants generated approximately $8.5 million gross. The warrants cover up to 6,538,500 shares, are immediately exercisable at $1.50 per share, and expire in five years. Offering costs reduce net proceeds.
- Nasdaq had threatened delisting for bid-price and shareholders’ equity deficiencies. The company met the bid-price condition in February and reported meeting the equity condition on May 9 following capital raising.
- Management expects current cash, including subsequent financing and ATM proceeds, government funding, and available ATM sales, to fund working capital and capital expenditures for at least 12 months from issuance of the filing. This outlook depends on cash management, funding access, and program spending. The company reported up to $1.3 million of active government grant funding remaining at March 31, subject to agency terms, and forecast approximately $5.4 million of R&D spending over the next 12 months before reimbursements, with about $0.7 million of anticipated reimbursements and licensing revenue.
- Other development programs include SGX302 for psoriasis, SGX942 for oral mucositis, and government-supported vaccine and infectious-disease programs. The UK regulator indicated a second Phase 3 study would be needed for SGX942 marketing authorization; further development depends on partner support. Several programs depend on continued grant or other financing.
- The Emergent arbitration panel found contractual breaches but awarded no monetary damages. Soligenix sought to vacate the decision; the Delaware Court of Chancery heard argument in April 2023 and had not ruled. Recovery is uncertain. The company also disclosed financing, regulatory, clinical-trial, manufacturing, market-acceptance, and Nasdaq-listing risks.
