Spero Therapeutics, Inc. annual report, FY2023

Spero Therapeutics, Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. The filing was signed March 13, 2024. Financial amounts below are in U.S. dollars; dollar figures are in millions unless stated otherwise.

Business context

Spero is a clinical-stage biopharmaceutical company developing treatments for rare diseases and drug-resistant bacterial infections. It has no approved products and generated no product-sale revenue. Its programs are SPR720 for NTM pulmonary disease, tebipenem HBr for complicated urinary tract infections (licensed to GSK), and SPR206 for hospital-based resistant infections.

Financial performance and liquidity

MetricFY2023FY2022
Total revenue$103.8$53.5
Research and development expense$51.4$47.6
General and administrative expense$25.6$36.5
Operating income (loss)$21.5$(42.2)
Net income (loss)$22.8$(46.4)
Diluted earnings (loss) per share$0.43$(1.23)
Cash used in operating activities$(33.0)$(7.7)

FY2023 revenue comprised $7.0 million of government grant revenue, $95.8 million of GSK-related collaboration revenue and $0.9 million of other collaboration revenue—not product sales. The reported profit therefore should not be read as evidence of recurring commercial profitability. Spero recognized GSK milestone revenue, including amounts allocated to future research and development services; much of the associated milestone cash had not been collected by year-end.

Cash and cash equivalents were $76.3 million at year-end, down $32.8 million from $109.1 million. Current assets were $131.2 million and current liabilities $37.2 million; current assets included $49.2 million of current GSK-related receivables. Total assets were $182.4 million, total liabilities $75.5 million, and stockholders’ equity $106.9 million. The company reported no marketable securities at year-end. Operating lease liabilities totaled $5.5 million. The filing reports that the prior royalty-financing liability was repaid in 2022; it does not show outstanding borrowing debt at December 31, 2023.

Operating margin was about 20.7% based on reported operating income and revenue, but this measure reflects collaboration milestone recognition and is not a product-sales margin. The company expects its existing cash to fund operations into late 2025 under its current plan and states it will need additional funding beyond that point.

Material changes versus FY2022

  • Revenue increased $50.3 million, largely because GSK-related collaboration revenue rose $49.7 million, from $46.1 million to $95.8 million. Grant revenue increased $2.1 million; other collaboration revenue declined $1.6 million.
  • Net results swung to $22.8 million of income from a $46.4 million loss, reflecting higher collaboration revenue, lower operating expenses and the absence of 2022 royalty-financing costs and restructuring charges. FY2023 also included a $5.3 million impairment of the Savior facility and $2.6 million of income tax expense.
  • R&D expense rose $3.8 million, chiefly as SPR720 clinical activity increased. G&A expense fell $10.9 million, mainly following restructuring and lower commercial and personnel costs. FY2022 included $11.6 million of restructuring expense.
  • Operating cash outflow increased to $33.0 million. A major driver was the $95.7 million increase in GSK-related collaboration receivables, partly offset by a $29.0 million increase in deferred revenue.
  • Common shares outstanding increased to 53.0 million from 52.5 million at year-end 2022; weighted-average basic shares were 52.7 million versus 37.6 million.

Outlook, developments and key risks

  • Tebipenem HBr: FDA agreed under a Special Protocol Assessment to the design and size of the pivotal Phase 3 PIVOT-PO trial. Enrollment began in December 2023; Spero expects enrollment completion in the second half of 2025. The approximately 2,648-patient study follows an earlier FDA Complete Response Letter requiring additional clinical evidence. GSK funds additional development, regulatory and commercial work under the license, while Spero is responsible for the follow-up Phase 3 trial and clinical supply.
  • GSK payments: Spero received a $30 million development milestone in 2023. A separate $95 million milestone is payable in four semiannual installments; the first $23.8 million installment was received in February 2024. Further milestone and royalty payments remain contingent on development, approval and sales.
  • SPR720: Phase 2a enrollment was ongoing at 27 active sites; topline data were expected in the second half of 2024. The program previously faced an FDA clinical hold, lifted in January 2022. Trial enrollment, safety, efficacy and final data remain uncertain.
  • SPR206: The FDA cleared its Phase 2 investigational application in February 2024 for a study in approximately 60 hospitalized patients. Initiation is contingent on non-dilutive funding.
  • Funding: Management expects continued development spending and says financing beyond the projected late-2025 runway may be needed. If funding or grant support is unavailable, the company may reduce spending or delay, scale back or eliminate programs. Equity financing could dilute shareholders.
  • Other risks and contingencies: No product is approved; clinical or regulatory setbacks, patient-enrollment delays, manufacturing dependence, competition, reimbursement uncertainty and intellectual-property risks could impair prospects. Securities class-action and derivative lawsuits concerning statements about the tebipenem NDA remain unresolved; the company says it cannot estimate a possible loss range. No material contingency accrual was recorded at year-end.

Investor verification priorities

  • Confirm collection timing and amounts for GSK milestone receivables, deferred collaboration revenue and the February 2024 installment; distinguish recognized revenue from cash received.
  • Track the cash burn, updated runway assumptions and funding needs against management’s late-2025 estimate, including whether SPR206 receives non-dilutive funding.
  • Verify SPR720 Phase 2a enrollment and the timing, completeness and interpretation of topline data.
  • Monitor PIVOT-PO enrollment, execution against the FDA-agreed protocol, and the evidence needed for a tebipenem HBr resubmission after the prior CRL.
  • Review subsequent developments in the securities and derivative litigation, and any potential financial or insurance exposure.
  • Assess share-count changes and potential dilution from equity compensation or future capital raises.
