Revenue declined primarily because COVID-19 lockdowns disrupted production, logistics and distribution. Advanced TCMP revenue fell 44%, Fine TCMP revenue fell 71%, and Regular TCMP revenue fell 12%. TCMHS revenue fell to zero after the company suspended production and sales. Raw medicinal materials generated $502,425 of revenue, partly offsetting the decline in finished products.

Cost of revenue increased 14% despite lower revenue, reflecting higher raw-material prices, fixed manufacturing costs and low production utilization. Selling expenses fell 58%, but general and administrative expenses increased 2% to $5.646 million. Fiscal 2023 G&A included $820,352 of accounts receivable provisions, $474,342 of provisions related to prepayments and other assets, $1.581 million of provisions for an overdue loan receivable, and $349,390 of construction-in-progress impairment.

Financing activities provided $2.942 million of cash, including convertible-note proceeds and share issuance proceeds, partly offset by repayments to related parties. Cash was also reduced by a $1.050 million foreign-currency translation effect. Cash and cash equivalents were primarily held in RMB-denominated accounts in China and are generally uninsured.

At March 31, 2023, short-term convertible notes had a carrying value of $3.157 million, short-term borrowings were $167,453, long-term borrowings totaled $125,725, and amounts due to related parties were $5.204 million. The company reported accumulated deficits of $21.613 million.

Material changes and unusual items

  • The company adopted ASU 2020-06 for convertible notes using the modified retrospective method, resulting in a $341,619 reduction to opening equity and accounting for convertible notes principally as liabilities.
  • The company issued 5,736,811 ordinary shares for partial settlement of convertible-note principal and interest during fiscal 2023.
  • A March 2023 convertible note had original principal of approximately $2.127 million and generated $2.0 million of gross proceeds. It bears 6% interest and includes conversion and redemption features that may result in substantial dilution.
  • The company recorded significant credit-related provisions, including a full $1.581 million allowance for an overdue loan receivable and a $474,342 allowance related to a remaining investment-fund receivable.
  • The company adopted lease accounting under ASC 842, recognizing $306,050 of related-party operating lease liabilities and a corresponding right-of-use asset.
  • A $60 million RMB long-term acquisition deposit, reported at approximately $8.737 million, remained outstanding while legal and financial due diligence continued. The acquisition had not been approved or disapproved as of March 31, 2023.
  • The company completed a one-for-twenty reverse stock split effective May 19, 2022. Share and per-share information in the filing is generally presented on a post-split basis.

Outlook, going concern and key risks

Management stated that the company is seeking additional debt and equity financing, expanding its customer base and reducing expenses. The filing does not provide quantitative revenue, earnings or margin guidance. Management and the auditors identified substantial doubt about the company’s ability to continue as a going concern because of recurring losses, declining revenue and limited operating cash generation. The financial statements do not include adjustments that might result from this uncertainty.

  • COVID-19-related restrictions reduced demand and disrupted suppliers, customers, manufacturing and distribution during fiscal 2023. Restrictions were lifted beginning in late 2022 and operations were described as gradually recovering, but the duration and effect of any renewed disruption remain uncertain.
  • The company depends on a small customer base; three customers accounted for 30.26%, 20.02% and 13.87% of fiscal 2023 revenue.
  • The company relies on VIE agreements rather than direct ownership of the principal operating entity. These agreements have not been tested in a Chinese court and could become unenforceable or subject to regulatory intervention.
  • PRC regulatory oversight of overseas listings, VIE structures, data security and cross-border financing remains uncertain. Under the CSRC Trial Measures effective March 31, 2023, existing overseas-listed issuers generally are not required to make an immediate filing but may have filing obligations for subsequent offerings.
  • The company requires continuing pharmaceutical permits and GMP compliance. Its Pharmaceutical Manufacturing Permit is stated to expire December 17, 2025, while its GMP certificate is stated to be effective through August 4, 2024.
  • Management concluded that disclosure controls and internal control over financial reporting were not effective at March 31, 2023. Reported weaknesses included inadequate U.S. GAAP-capable accounting personnel, insufficient bilingual training and inadequate segregation of duties.
  • The company does not maintain product liability, business interruption or key-person insurance, according to the filing.
  • Convertible-note redemptions may be paid in cash or shares and may include default-related increases in amounts owed, creating liquidity pressure and potential dilution.
  • The company does not intend to pay dividends in the foreseeable future.
