Revenue at Sypris Technologies fell 66.4% to $108.1 million, while Sypris Electronics revenue rose 14.4% to $37.2 million. Technologies recorded a $0.8 million gross loss; Electronics generated $1.1 million gross profit. Consolidated 2015 results included a $7.7 million gain on the Morganton asset sale and $0.5 million from the Dana arbitration settlement. Interest expense increased to $4.2 million from $0.6 million; the weighted-average borrowing rate rose to 7.2% from 2.5%.
At December 31, 2015, cash was $1.3 million and total assets were $68.1 million. Debt was $19.3 million, including $5.5 million of related-party debt; stockholders’ equity was $19.7 million. Reported cash plus available borrowing capacity was $3.6 million, including $6.3 million of unused facility capacity, of which $4.0 million was reserved under minimum-availability provisions. The company used $13.4 million in operating cash, partly offset by $13.9 million of investing cash inflows, primarily the Morganton sale proceeds.
Material changes versus 2014
- Total revenue declined 59.0%, principally following the loss of Dana, which represented approximately 59% of 2014 revenue. Sypris reported minimal shipments to Dana after December 31, 2014.
- Technologies’ gross profit fell from $42.0 million to a $0.8 million loss, reflecting lower volume and underused capacity. Electronics improved from a $3.2 million gross loss to $1.1 million gross profit.
- Net loss widened to $27.2 million from $1.2 million, and operating cash flow shifted from a $3.0 million inflow to a $13.4 million outflow.
- The company sold certain Morganton assets and its facility to Meritor for total consideration of $15.7 million, applied to repay prior-facility borrowings. It replaced its prior credit arrangements with a $12 million term loan and a $15 million revolving facility in October 2015.
- Customer concentration eased but remained substantial: the five largest customers accounted for 62% of revenue, versus 85% in 2014. Meritor alone represented approximately 30% in 2015.
- No common dividends were paid in 2015, compared with $0.08 per share in 2014. Debt agreements restrict dividends, and the company did not anticipate paying them in 2016.
Outlook, risks and unusual items
- Management expected further near-term operating losses while it sought replacement business and implemented cost reductions. It forecast that available liquidity would be sufficient to fund operations through 2016 and expected covenant compliance based on its current forecast, but cautioned that lower revenue or higher costs could require further cuts or strategic alternatives. No quantified revenue or earnings guidance was provided.
- Recovery efforts included workforce and overhead reductions, plant capacity reallocation, pursuit of higher-margin customer programs, and development of commercial cybersecurity and authentication products. Management reported a significant defense engineering-services award in March 2016; success in replacing lost revenue is not assured.
- In March 2016, Sypris completed a Toluca sale-leaseback for approximately $12.1 million and leased back the space it needs for ten years at annual base rent of $936,000, subject to CPI adjustments. $6.0 million of proceeds was placed in a one-year cash-collateral account for the term loan. February 2016 loan amendments reduced the minimum excess-availability requirement and were estimated to add $1.7 million of borrowing capacity; the term-loan rate increased by 1 percentage point. GFCM, an entity controlled by the CEO and a director, increased its subordinated loan to $6.5 million at 8% interest, due January 2019.
- Debt is secured by substantially all company and U.S. subsidiary assets. Covenant breach could trigger acceleration or foreclosure; the company disclosed negative operating cash flow and stated that there could be no assurance its recovery plans would succeed. Financial statements were prepared on a going-concern basis.
- Sypris’ efforts to enforce a Dana supply-agreement renewal through 2019 were unsuccessful in court; its bad-faith claim remained unresolved. Dana-related shipments remain minimal. The company also disclosed possible facility-exit repair costs for its Tampa lease, which expires in 2016; the amount was not estimable.
- Other risks include uncertain commercial-vehicle demand and oil-and-gas investment, customer and supplier concentration, government program funding and delays, execution of new programs, labor relations, and environmental obligations. A $2.2 million deferred-tax expense arose from a valuation allowance on Mexican tax assets.
Important facts for investors to verify
- Whether new and renewed customer programs can replace Dana-related revenue and restore positive segment margins and operating cash flow.
- Actual borrowing availability, covenant compliance, collateral requirements and cash needs under the amended loan agreements.
- Use and release conditions for the Toluca sale proceeds, and the effect of ongoing lease costs and any further asset sales.
- Progress on cost reductions, capacity reallocation, and Sypris Electronics’ product launches and contract awards.
- Updates on the unresolved Dana claim, Tampa facility-exit exposure and Toluca environmental remediation.
- Quarterly results show revenue fell to $29.1 million and net loss was $5.5 million in Q4 2015, compared with revenue of $87.2 million and net loss of $2.0 million in Q4 2014; investors should assess whether subsequent trends improved.
