At year-end, cash and equivalents were $12.3 million, total assets $54.2 million, shareholders’ equity $39.4 million, and revolving borrowings $2.25 million. The company reported $5.9 million of net borrowing capacity under its $10 million Siena facility, which matures March 13, 2025. The facility requires at least $750,000 of excess availability; TransAct reported compliance through year-end. Operating cash flow benefited from lower receivables, while inventory rose $5.7 million to $17.8 million.
Sales increased 24.9%. Casino and gaming revenue rose 37.2% to $41.2 million; FST rose 31.9% to $16.3 million; TSG rose 61.4% to $8.2 million; and POS automation fell 35.1% to $6.9 million. International sales were $14.6 million, or 20.1% of total sales. Gross margin expansion reflected higher sales, product mix, market-share gains and price increases. Net income included a roughly $426,000 non-operating gain on the Printrex asset sale.
Material changes and quarterly performance
Fourth-quarter 2023 net sales were $13.3 million, compared with $18.0 million in Q4 2022. Quarterly net income was a loss of $62,000, versus income of $260,000 a year earlier. Management attributed the late-year casino and gaming slowdown to customers reducing orders after building excess inventory amid supply-chain constraints. Annual results also benefited from competitors’ prior inability to supply products; management says the primary competitor resumed shipments in 2024.
POS sales normalized after unusually high 2022 shipments as TransAct worked through backlog. TSG growth included a large IGT order for legacy lottery-printer parts that management does not expect to recur at the same level. FST recurring software, labels and other revenue rose 27.9% to $11.1 million.
Outlook, management commentary and risks
Management expects FST revenue to be higher in 2024, but expects lower POS, casino and gaming, and TSG sales versus 2023. Casino and gaming orders may remain soft, particularly in the first half of 2024, as customers reduce inventory; renewed competitor supply may add pricing pressure and affect market share. Management expects 2024 gross margin to be below 2023’s level.
A cost-reduction initiative begun in Q3 2023 is expected to generate approximately $3 million in annualized savings beginning in 2024, partly offset by inflation and cost-of-living increases. The company engaged a strategic advisor in Q4 2023 to assess its long-term strategy; the filing gives no timetable or specific outcome. Management believes available cash, operating cash flow and borrowing capacity are sufficient for obligations, capital spending and working capital for at least 12 months after filing issuance.
Key risks include dependence on a Thailand-based contract manufacturer for substantially all printer and terminal assembly; reliance on a third party for development, maintenance and hosting of certain BOHA! software; customer concentration (IGT accounted for 15% of 2023 sales and 28% of year-end receivables); supply-chain, inflation, tariff and geopolitical exposures; and uncertain FST subscription renewals and product acceptance. Inventory valuation was a critical audit matter because estimates of future demand drive excess and obsolete inventory reserves. Management reported effective disclosure controls and internal control over financial reporting. The auditor issued an unqualified opinion on the financial statements; it was not engaged to audit internal control.
Important facts for investors to verify

- Whether FST growth, BOHA! Terminal 2 adoption and recurring software and label revenue offset declines in POS automation and TSG.
- Inventory quality and sell-through: year-end inventory was $17.8 million, up from $12.0 million; the auditor identified inventory reserves as a critical audit matter.
- Progress toward the projected $3 million annualized cost savings and whether further expense reductions are needed.
- Liquidity and Siena facility compliance, including the borrowing base, $750,000 minimum excess availability, and March 2025 maturity.
- IGT concentration, the nonrecurring nature of the large 2023 legacy-parts order, and the strategic advisor’s eventual recommendations.
