Revenue comprised product sales of $1,533.5 million (down 11%), services of $419.9 million (up 6%) and subscriptions of $337.0 million (up 18%). The filing attributes the decline in revenue and operating income chiefly to foreign exchange, weaker agricultural conditions, oil-and-gas market softness, and lower results in Engineering and Construction and Field Solutions. Higher restructuring costs and lower gross margin also weighed on operating income. GAAP net income was affected by increased interest expense and lower operating income; the effective tax rate was 20%, unchanged from 2014.
Segment revenue and operating income were: Engineering and Construction, $1,283.3 million and $218.8 million; Field Solutions, $355.3 million and $108.6 million; Mobile Solutions, $520.3 million and $85.6 million; Advanced Devices, $131.5 million and $46.9 million. Mobile Solutions revenue grew 7%; the other three segments declined. Segment operating income is a company-defined measure excluding specified corporate and acquisition-related items, so it is not directly comparable to consolidated GAAP operating income.
In Q4 FY 2015, revenue was $559.7 million versus $563.8 million in Q4 FY 2014; net income attributable to Trimble was $24.0 million versus $55.8 million, and diluted EPS was $0.09 versus $0.21. Q4 gross margin was $293.1 million versus $292.5 million.
Cash, debt and liquidity
Cash from operations was $354.9 million. Investing activities used $172.4 million, including $156.3 million for acquisitions net of cash acquired and $43.9 million for property and equipment; financing activities used $202.8 million, including $234.4 million of share repurchases. Cash declined $32.0 million during the year. Year-end current assets were $798.4 million and current liabilities $660.9 million; current liabilities included $118.3 million of short-term debt and $234.6 million of deferred revenue.
Debt principal totaled $735.2 million: $400 million of 4.75% senior notes due December 2024, $216 million drawn on the $1.0 billion revolving credit facility, and $118 million under callable, uncommitted facilities, plus other debt. The company reported compliance with its credit-facility covenants. Management stated cash and available credit should meet operating needs, debt service, planned capital spending, acquisitions and planned repurchases for at least 12 months.
Changes, outlook and risks
- Product revenue fell while services and subscriptions expanded, reflecting the strategic shift toward recurring software and service revenue.
- Currency translation reduced FY 2015 revenue by $92.3 million and operating income by $5.4 million, according to the filing.
- Management expected continued investment in R&D at a rate consistent with past spending. No specific revenue or earnings guidance is provided in the filing.
- Management cited ongoing weakness in agriculture and oil and gas, currency exposure, cyclical construction markets, competitive pressure, acquisition integration, cybersecurity, supplier concentration and reliance on GNSS signals as risks.
- The company acquired 13 businesses in FY 2015; collectively they contributed less than 1% of annual revenue. Acquisitions and integration remain a source of execution risk. Goodwill was not impaired in the annual test, though certain early-stage reporting units had relatively small valuation cushions.
- Legal matters included an Alaska case under appeal after the company obtained judgment in its favor, and a proposed shareholder-litigation settlement concerning credit-agreement change-of-control terms. The LightSquared claims against Trimble were settled in February 2016 with mutual releases and dismissal with prejudice.
- The company corrected prior-period foreign-currency translation and goodwill figures; it said the error did not affect net income or cash flows and was not material to prior periods. The financial-statement and internal-control audits received unqualified opinions.
Most important facts to verify
- Whether continued weakness in agriculture and oil-and-gas markets, and foreign-exchange effects, persist and further pressure revenue and margins.
- Whether subscription and service growth can offset falling product revenue and sustain profitability.
- Debt capacity, the callable $118 million uncommitted borrowing balance, floating-rate exposure, and compliance with credit covenants.
- Cash needs for acquisitions and the remaining $249.9 million authorization under the share-repurchase program.
- Developments in the Alaska appeal, shareholder-settlement approval, and the IRS dispute over proposed $67 million assessments for 2010–2011; the company contests the IRS position.
- How the foreign-currency translation correction, acquisition valuations and substantial goodwill and intangible-asset balances affect future reported results.
