Performance, changes, and liquidity
- Revenue increased $10.5 million year over year, primarily due to FILSPARI’s first full quarter of sales. Tiopronin sales declined $1.0 million. Collaboration revenue fell $5.3 million, mainly reflecting the prior-year API sale to CSL Vifor and lower clinical-development revenue.
- Net loss widened by $49.7 million. The principal unusual item was a $65.2 million pegtibatinase development milestone recognized as IPR&D expense; it was accrued at quarter-end and expected to be paid in Q2 2024.
- Continuing operating expenses fell $8.7 million in R&D and $1.7 million in SG&A, partly reflecting the December 2023 workforce reduction. Total reported operating expenses nevertheless rose because of the milestone charge.
- Q1 2024 product cost of goods sold was $1.5 million. FILSPARI sales primarily used previously expensed, “zero-cost” inventory; approximately $5.0 million remained, and the company expects this treatment to continue through at least 2025. Accordingly, reported product costs and margins may not reflect normalized future economics.
- Cash, cash equivalents, and marketable securities totaled $441.0 million at March 31, down from $566.9 million at year-end. Cash and cash equivalents decreased $14.9 million during the quarter. Investing cash flow was a $104.9 million source, largely from security maturities and sales; financing activities used $0.5 million.
- Debt principal outstanding was approximately $385.2 million: $68.9 million of 2.50% notes due September 2025 and $316.3 million of 2.25% notes due March 2029. The balance-sheet carrying value is lower after unamortized issuance costs. The company reported no note defaults.
Outlook, risks, and unusual items
- Management believes available cash and short-term investments, together with anticipated operating cash generation, will fund operations beyond the next 12 months. It also cautions that losses may continue and future funding or refinancing may be needed; financing may not be available on acceptable terms.
- The December 2023 reorganization reduced the workforce by approximately 20%. Management expects about $25 million in annualized savings beginning in 2024; total restructuring charges are estimated at $12–14 million, with $11.7 million recognized through March 31 and remaining costs expected during 2024.
- Management anticipates net FILSPARI-related milestone receipts of approximately $11.8 million over the next 12 months. The company also expected a $5.8 million Ligand milestone payment in Q2 2024. These are expectations, not guaranteed receipts or final net cash outcomes.
- FILSPARI received U.S. accelerated approval for IgAN in 2023. Travere submitted an sNDA for full approval in March 2024; in May, after the reporting date, the FDA accepted it for Priority Review and set a September 5, 2024 target action date. The confirmatory PROTECT study showed a clinically meaningful eGFR difference but narrowly missed statistical significance on eGFR total slope; approval and any broader label remain uncertain.
- After quarter-end, the European Commission granted conditional marketing authorization for FILSPARI in IgAN. The company may receive a $17.5 million regulatory milestone upon full European Commission approval. Renalys is responsible for development and commercialization in specified Asian territories and plans a Japanese registrational study; expected study results are in the second half of 2025.
- For sparsentan in FSGS, the Phase 3 DUPLEX study did not meet its two-year eGFR primary endpoint with statistical significance. The FDA indicated the results alone were insufficient to support an sNDA; Travere is analyzing data and evaluating possible regulatory paths.
- Peg tibatinase’s Phase 3 HARMONY study began dosing in early 2024; topline results are expected in 2026. The program carries contingent acquisition payments of up to $427 million, subject to specified milestones, plus potential royalties.
- Generic competition is a material risk for Thiola products. The filing says Thiola EC faces immediate generic competition following an FDA approval in January 2024; generic entry could pressure sales. FILSPARI commercialization also depends on payer access, adoption, safety monitoring, and regulatory outcomes.
- Other exposures include reliance on third-party manufacturers and distributors, clinical and regulatory uncertainty, debt service and refinancing risk, and potential generic and pricing pressures. Travere disclosed an appeal concerning a French reimbursement reassessment for the divested Kolbam business; it estimates repayment exposure of approximately $5 million during the appeal process, with the ultimate amount uncertain. The FTC investigation concerning product marketing, sales, distribution, and pricing remains open, though the company said no claim or proceeding had been initiated.
- The company reported effective disclosure controls and no material change in internal control over financial reporting during the quarter. It noted that a previously identified material weakness had been remediated as of year-end 2023.
